SERVICE PROVIDER AGREEMENT

IMPORTANT NOTICE: This Agreement is a binding legal document. By registering on, accessing, or using the PRNV Services platform as a service professional, independent service provider, contractor, consultant, technician, vendor, or other authorized professional, you confirm that you have read, understood, and agree to be bound by every term of this Agreement.

Mandatory Customer Discount Policy

Discount on Service Charges

The Service Provider agrees to offer a minimum 20% discount to customers on every service where the total service charge is ₹500 or above.

Terms & Conditions:

• The 20% discount is mandatory for all eligible services.

• The discount applies only when the final service amount before discount is ₹500 or more.

• The discount must be clearly reflected in the customer's invoice or bill.

• Failure to provide the mandatory discount may result in warnings, penalties, temporary suspension, or termination of the Service Provider's account, as determined by PRNV Services.

1. Introduction

This Service Provider Agreement ("Agreement") sets out the terms and conditions governing the relationship between PRNV Services ("PRNV", "Platform", "we", "us", or "our") and any service professional, independent service provider, contractor, consultant, technician, vendor, business entity, or other authorized professional ("Service Provider", "you", or "your") who registers, onboards, lists services, or otherwise provides or offers services discovered through prnvservices.com (the "Platform").

PRNV Services is a technology-enabled platform that facilitates discovery, communication, coordination, and service requests between users seeking services ("Users") and independent Service Providers. By registering on, accessing, or using the Platform in any capacity as a Service Provider, you acknowledge that you have read, understood, and agree to be bound by the entirety of this Agreement.

2. Purpose of this Agreement

The purpose of this Agreement is to establish a clear, fair, lawful, and transparent framework that:

(a) defines the nature of the relationship between PRNV and Service Providers; (b) sets out the rights, responsibilities, and obligations of Service Providers using the Platform; (c) establishes standards of conduct, compliance, and professionalism expected of every Service Provider; (d) protects the interests of Users, Service Providers, and the integrity of the Platform itself; and (e) provides mechanisms for monitoring, enforcement, corrective action, and resolution of issues that may arise in connection with the use of the Platform.

3. Scope and Applicability

This Agreement applies to every service professional, independent service provider, contractor, consultant, technician, vendor, business entity, or other authorized professional who registers an account, completes onboarding, lists services, or otherwise provides or offers to provide services through the Platform, irrespective of service category, geographic location, or duration of engagement.

This Agreement takes effect from the moment of registration on the Platform and continues for so long as the Service Provider maintains an active account or otherwise uses the Platform. Certain provisions of this Agreement — including, without limitation, confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution — shall survive the suspension, restriction, termination, or deactivation of a Service Provider's account.

4. Definitions

“Platform” means the website, mobile application, and associated technology infrastructure operated under the domain prnvservices.com.

“PRNV Services” or “PRNV” means the owner and operator of the Platform, including its officers, employees, and authorized representatives.

“Service Provider” means any service professional, independent contractor, consultant, technician, vendor, business entity, or other authorized professional registered on the Platform.

“User” or “Customer” means any individual or entity who accesses the Platform to discover, communicate with, or request services from a Service Provider.

“Services” means the underlying professional, technical, trade, consultancy, or other services offered or performed by a Service Provider, as distinct from the Platform Services described in this Agreement.

“Platform Services” means the discovery, listing, communication, coordination, and facilitation functions made available by PRNV through the Platform.

“Account” means the registered profile created by a Service Provider on the Platform.

“Content” means any information, text, image, document, certification, rating, review, or other material submitted to, or displayed on, the Platform.

“Applicable Law” means all central, state, and local laws, rules, regulations, and binding governmental or regulatory requirements applicable to the Platform, PRNV, or a Service Provider, as the context requires.

5. Nature of Platform Services

PRNV Services operates solely as a technology-enabled platform that facilitates discovery, communication, coordination, and service requests between Users and independent Service Providers. PRNV does not itself perform, supervise, direct, control, or deliver any of the underlying Services offered by Service Providers.

The Platform functions exclusively as an intermediary connecting Users and Service Providers, and does not act as a principal, employer, agent, broker, underwriter, or guarantor of any Service Provider's services, conduct, qualifications, or representations. Any reference on the Platform to PRNV "providing" a service refers exclusively to the Platform Services described in this clause, and not to the underlying Services performed by Service Providers.

6. Eligibility and Registration Requirements

To register as a Service Provider on the Platform, an applicant must:

(a) be at least eighteen (18) years of age, or be a duly constituted and validly existing business entity capable of entering into binding contracts;

(b) possess the legal capacity and authority to enter into this Agreement;

(c) provide true, accurate, current, and complete information during the registration and onboarding process;

(d) hold all qualifications, certifications, licenses, registrations, permits, or authorizations legally required to perform the Services offered, where applicable; and

(e) not be barred, restricted, disqualified, or prohibited under Applicable Law from offering such Services.

PRNV reserves the right, at its sole discretion, to accept, reject, condition, defer, or revoke any registration application, and may request additional information or documentation at any time prior to or following activation of an Account.

7. Independent Service Provider Relationship

Each Service Provider is, and shall at all times remain, an independent entity. Nothing in this Agreement, the operation of the Platform, or the conduct of the parties shall be construed to create any relationship of employment, agency, partnership, joint venture, franchise, or other legal representation between PRNV and the Service Provider.

The Service Provider has no authority, express or implied, to bind PRNV to any obligation, to make any representation on PRNV's behalf, or to hold itself out as an employee, agent, representative, or legal representative of PRNV.

PRNV does not supervise, direct, control, schedule, or guarantee the manner, quality, legality, suitability, availability, or outcome of any Services performed by a Service Provider. The Service Provider retains full and independent discretion over how, when, where, and in what manner the Services are performed, subject only to Applicable Law and the standards of conduct described in this Agreement.

The Service Provider remains solely responsible for their own Services, conduct, qualifications, communications, representations, legal compliance obligations, and professional activities, in all respects and at all times.

8. Account Registration and Verification Requirements

Service Providers shall complete the registration process in full, including the submission of identity documentation, contact details, and any category-specific information requested by the Platform.

PRNV may, at its discretion, verify submitted information through documentary checks, third-party verification services, or other lawful means, before or after activation of an Account.

An Account is personal to the registered Service Provider and shall not be transferred, sold, shared, sublicensed, or assigned to any other individual or entity without PRNV's prior written consent. Service Providers are solely responsible for maintaining the confidentiality of their Account credentials and for all activity occurring under their Account.

9. Information Accuracy and Update Obligations

Service Providers shall ensure that all information submitted to the Platform — including identity details, contact information, service categories, qualifications, certifications, licenses, and any other Content — is true, accurate, complete, and current at all times.

Service Providers must promptly update their Account information upon any change in circumstances, including changes to qualifications, licenses, certifications, business status, or contact details.

Submission of false, misleading, fabricated, incomplete, or outdated information constitutes a material breach of this Agreement and may result in corrective action, suspension, or termination in accordance with Sections 24 and 25.

10. Professional Conduct and Ethical Standards

Service Providers shall at all times conduct themselves with honesty, integrity, courtesy, and professionalism in all interactions with Users, other Service Providers, and PRNV.

Service Providers shall not engage in discriminatory, abusive, harassing, fraudulent, deceptive, or unlawful conduct in connection with their use of the Platform or the performance of Services.

Service Providers shall honor commitments made to Users, shall communicate truthfully regarding their qualifications and the nature of the Services offered, and shall refrain from any conduct that may bring the Platform, its Users, or other Service Providers into disrepute.

11. Service Provider Responsibilities and Obligations

Each Service Provider is solely and exclusively responsible for:

(a) the manner, quality, safety, legality, and outcome of all Services performed;

(b) all representations, communications, and commitments made to Users;

(c) obtaining and maintaining all qualifications, licenses, certifications, registrations, permits, and insurance required to lawfully perform the Services offered;

(d) compliance with all Applicable Law, professional standards, and codes of conduct relevant to the Services offered;

(e) the tools, equipment, materials, and resources used in performing the Services;

(f) resolving any dispute, complaint, defect, or claim arising from the Services performed; and

(g) bearing all costs, taxes, and liabilities arising from or connected with the conduct of their professional activities.

PRNV bears no responsibility for any of the foregoing matters, which remain exclusively and at all times within the domain of the Service Provider.

12. Compliance with Applicable Laws and Regulations

Service Providers shall, at all times, comply with all Applicable Law, including licensing requirements, labor and workplace safety standards, consumer protection laws, data protection laws, environmental regulations, and any other legal or regulatory requirement governing the Services they offer or perform.

Service Providers shall be solely responsible for any registration, filing, taxation, or statutory compliance obligation applicable to their trade, profession, or business activity. PRNV does not assume, and expressly disclaims, any responsibility for a Service Provider's compliance or non-compliance with Applicable Law.

13. Professional Qualifications, Certifications, Licenses, and Authorizations, Where Applicable

Where the Services offered by a Service Provider require any professional qualification, trade certification, license, registration, or statutory authorization, the Service Provider represents and warrants that they hold, and shall continuously maintain, such qualification, certification, license, registration, or authorization in good standing for so long as they offer such Services on the Platform.

The Service Provider shall, upon request, promptly furnish documentary proof of such qualifications, certifications, licenses, or authorizations to PRNV.

PRNV's display of any qualification, certification, or credential submitted by a Service Provider is for informational purposes only and does not constitute verification, endorsement, certification, or guarantee by PRNV of the validity, currency, or adequacy of such qualification.

14. Communication and Customer Interaction Standards

All communications between a Service Provider and a User, whether conducted through the Platform or otherwise in connection with a service request originating from the Platform, shall be conducted truthfully, respectfully, and professionally.

Service Providers shall not make false, misleading, or exaggerated claims regarding their qualifications, experience, or the nature of the Services offered, and shall not use abusive, threatening, discriminatory, or otherwise inappropriate language in any communication with Users.

PRNV may, where technically available, monitor communications conducted through Platform-provided channels for quality, safety, and compliance purposes, in accordance with its Privacy Policy.

15. Privacy, Confidentiality, and Information Security Obligations

Service Providers shall maintain the confidentiality of any personal data, contact information, or other confidential information of Users obtained through the Platform, and shall use such information solely for the purpose of fulfilling the specific service request for which it was disclosed.

Service Providers shall not sell, rent, disclose, or misuse User information for any unauthorized purpose, including unsolicited marketing or off-Platform solicitation.

Service Providers shall implement reasonable safeguards to protect any User information in their possession from unauthorized access, loss, alteration, or disclosure, and shall promptly notify PRNV of any actual or suspected data security incident involving User information.

16. Intellectual Property and Platform Rights

All trademarks, logos, designs, software, source code, content, and other intellectual property comprising the Platform are owned by or licensed to PRNV and are protected under Applicable Law. Nothing in this Agreement grants a Service Provider any ownership interest in the Platform or its intellectual property.

Service Providers grant PRNV a limited, non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute any Content submitted by them (including profile information, photographs, and certifications) solely for the purpose of operating, promoting, and improving the Platform.

Service Providers represent and warrant that they hold all necessary rights to any Content they submit, and that such Content does not infringe any third-party intellectual property right or other proprietary right.

17. Acceptable Platform Usage Requirements

Service Providers shall use the Platform only for its intended purpose of discovery, communication, coordination, and service requests, and shall not use the Platform in any manner that could damage, disable, overburden, or impair its functioning.

Service Providers shall not attempt to gain unauthorized access to any part of the Platform, other Service Provider accounts, User data, or PRNV's systems. The use of automated tools, bots, scrapers, or scripts to interact with the Platform without PRNV's prior written authorization is strictly prohibited.

18. Prohibited Activities and Restrictions

Without limiting any other provision of this Agreement, a Service Provider shall not:

(a) submit false, fraudulent, or misleading information at registration or at any time thereafter;

(b) impersonate any other person, business, or entity;

(c) engage in any unlawful, fraudulent, deceptive, or unethical activity in connection with the Platform;

(d) circumvent, manipulate, or interfere with the Platform's verification, ranking, review, or feedback systems;

(e) solicit Users to transact outside the Platform in circumvention of applicable Platform policies;

(f) post, transmit, or display any unlawful, defamatory, obscene, or infringing Content;

(g) harass, threaten, abuse, or discriminate against any User or other Service Provider; or

(h) engage in any activity that violates Applicable Law or undermines the integrity, safety, or trustworthiness of the Platform.

19. Identity Verification and Re-Verification Procedures

PRNV reserves the right to require identity verification at the time of registration, and periodic or event-triggered re-verification thereafter, including in response to complaints, suspicious activity, or routine compliance reviews.

Service Providers shall cooperate fully with any verification or re-verification request, including the prompt submission of requested documentation. Failure to complete verification or re-verification within the timeframe specified by PRNV may result in suspension or restriction of Platform access under Section 25.

20. Reviews, Ratings, and Feedback

The Platform may allow Users to submit ratings, reviews, and feedback regarding their experience with a Service Provider. Service Providers shall not manipulate, fabricate, improperly solicit, or incentivize ratings or reviews in a manner inconsistent with the Platform's policies, nor shall they retaliate against a User for submitting genuine feedback.

PRNV reserves the right to moderate, remove, or decline to publish any rating, review, or feedback that it determines, in its reasonable discretion, to be fraudulent, abusive, defamatory, or otherwise in violation of this Agreement or Applicable Law.

Ratings and reviews displayed on the Platform reflect User-submitted opinions and do not constitute a guarantee, endorsement, or warranty by PRNV regarding any Service Provider.

21. Reporting Issues and Incident Management

Service Providers shall promptly report to PRNV any complaint, dispute, safety incident, security concern, suspected fraud, or other issue arising from their use of the Platform or the performance of Services that may affect Users, other Service Providers, or the integrity of the Platform.

PRNV may investigate any reported issue and may request additional information or documentation from the Service Provider in connection with such investigation. Service Providers shall cooperate in good faith with any investigation conducted by PRNV.

22. Record Retention and Documentation

Service Providers shall maintain accurate records relating to their qualifications, certifications, licenses, and the performance of Services, in accordance with Applicable Law and applicable professional requirements, and shall retain such records for the period required under Applicable Law.

PRNV may, from time to time, request that a Service Provider furnish copies of such records for compliance verification purposes, and the Service Provider shall provide the same within a reasonable time.

23. Monitoring and Compliance Reviews

PRNV reserves the right, at its sole discretion, to monitor Service Provider Accounts, Content, communications conducted through Platform-provided channels, and overall conduct for compliance with this Agreement and Applicable Law.

PRNV may conduct periodic or targeted compliance reviews, including in response to complaints, irregular activity, or regulatory requirements. Monitoring and compliance reviews are conducted for the purpose of maintaining the safety, integrity, and trustworthiness of the Platform, and do not constitute supervision, direction, or control over the manner in which a Service Provider performs their Services.

24. Corrective Actions and Remediation Measures

Where PRNV identifies a breach of this Agreement, inaccurate information, or non-compliance with applicable standards, PRNV may, at its discretion, take corrective measures proportionate to the nature and severity of the issue, including issuing a written warning, requiring submission of corrected information or documentation, requiring completion of additional verification, temporarily limiting certain Account features, or requiring remedial action within a specified timeframe.

A Service Provider's failure to satisfactorily complete any required corrective action may result in further enforcement measures, including suspension or termination of access under Section 25.

25. Suspension, Restriction, and Termination of Access

PRNV reserves the right, at its sole discretion and without liability, to suspend, restrict, or terminate a Service Provider's Account or access to the Platform, with or without prior notice, where PRNV determines that the Service Provider has:

(a) breached any provision of this Agreement;

(b) provided false, misleading, or fraudulent information;

(c) engaged in unlawful, unethical, or unsafe conduct;

(d) failed to complete required verification or re-verification;

(e) been the subject of credible or substantiated complaints regarding their conduct or Services;

(f) posed a risk to Users, other Service Providers, or the integrity of the Platform; or

(g) been required to be suspended or removed pursuant to a legal or regulatory requirement.

A Service Provider may also voluntarily deactivate their Account at any time, subject to completion of any pending obligations.

Suspension, restriction, or termination under this clause does not affect any obligation or liability of the Service Provider that has accrued under this Agreement prior to such suspension, restriction, or termination.

26. Limitation of Liability

To the maximum extent permitted by Applicable Law, PRNV shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

(a) the quality, safety, legality, timeliness, or outcome of any Services performed by a Service Provider;

(b) any act, omission, representation, or conduct of a Service Provider;

(c) any dispute between a Service Provider and a User or any third party;

(d) any interruption, suspension, error, delay, or unavailability of the Platform; or

(e) any loss of revenue, business opportunity, data, or goodwill connected with the use of the Platform.

PRNV's role is strictly limited to providing the Platform Services described in Section 5, and PRNV assumes no liability whatsoever for matters arising from the underlying Services performed by Service Providers.

27. Indemnification

Each Service Provider agrees to indemnify, defend, and hold harmless PRNV, its officers, directors, employees, and authorized representatives from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) the Service Provider's performance of, or failure to perform, any Services;

(b) any breach of this Agreement by the Service Provider;

(c) any violation of Applicable Law by the Service Provider;

(d) any inaccurate, false, or misleading information submitted by the Service Provider; or

(e) any claim brought by a User or third party arising from the Service Provider's conduct or Services.

28. Disclaimers and No Warranties

PRNV Services is not a provider of the underlying Services performed by independent Service Providers and makes no representation or warranty, express or implied, regarding the quality, safety, legality, suitability, availability, or outcome of any such Services.

PRNV does not guarantee uninterrupted, error-free, or continuous availability of the Platform, nor does it guarantee the accuracy, completeness, or reliability of any Content, qualification, or representation submitted by a Service Provider.

Service providers remain solely responsible for obtaining and maintaining any licenses, certifications, registrations, permits, insurance, or legal authorizations required for their activities. The Platform is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted by Applicable Law.

29. Force Majeure

PRNV shall not be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, civil unrest, governmental action, internet or telecommunications failures, power outages, or other similar events.

Performance obligations affected by such events shall be suspended for the duration of the event, and PRNV shall use reasonable efforts to resume normal operations as soon as practicable thereafter.

30. Amendments and Updates

PRNV reserves the right to amend, modify, update, or revise this Agreement at any time, in its sole discretion, to reflect changes in legal requirements, Platform functionality, or operational practice.

Amended terms shall be published on the Platform and shall become effective from the date of publication unless otherwise stated. Continued use of the Platform following the publication of amended terms constitutes acceptance of such amendments. Service Providers are encouraged to review this Agreement periodically.

31. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Subject to Section 32 (Dispute Resolution), the courts of competent jurisdiction at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.

32. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the parties shall first attempt to resolve the matter amicably through good-faith negotiation.

Where a dispute cannot be resolved amicably within a reasonable period, the matter may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in Hyderabad, Telangana, India, in the English language, before a sole arbitrator appointed in accordance with applicable rules. Nothing in this clause shall preclude either party from seeking urgent interim relief before a court of competent jurisdiction.

33. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable under Applicable Law, such provision shall be deemed modified to the minimum extent necessary to render it valid and enforceable, or, if it cannot be so modified, shall be severed from this Agreement, without affecting the validity or enforceability of the remaining provisions.

34. Entire Agreement

This Agreement, together with any other policies of PRNV incorporated herein by reference, constitutes the entire agreement between the Service Provider and PRNV with respect to the subject matter herein, and supersedes all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating to such subject matter.
