This Agreement governs participation in the PRNV Services Referral Partner ecosystem and applies to all individuals, organizations, business associates, marketing partners, community partners, and other authorized referral partners who register with, or otherwise participate in, the platform operated by PRNV Services.
Effective and Governing Document for Referral Partner Participation
1. INTRODUCTION
This Referral Partner Agreement (“Agreement”) is published and maintained by PRNV Services, operating the digital platform accessible at www.prnvservices.com (the “Platform”). This Agreement sets out the terms and conditions that govern the relationship between PRNV Services and every individual, organization, business associate, marketing partner, community partner, or other authorized referral partner (each, a “Referral Partner”) who registers for, accesses, or otherwise participates in the referral ecosystem made available through the Platform.
PRNV Services is committed to building a transparent, secure, and well-governed referral ecosystem that supports lawful, ethical, and professional engagement between Referral Partners, users, and independent service providers. This Agreement forms the foundation of that commitment and is intended to be read carefully by every Referral Partner before participation.
By registering as a Referral Partner, or by otherwise accessing or using any referral-related feature of the Platform, the Referral Partner acknowledges that they have read, understood, and agreed to be bound by this Agreement, together with any other applicable PRNV Services policies, guidelines, and terms of use published from time to time.
2. PURPOSE OF THIS AGREEMENT
The purpose of this Agreement is to establish a clear, consistent, and legally compliant framework that governs the conduct, obligations, and standing of Referral Partners within the PRNV Services ecosystem. This Agreement is designed to:
• Define the nature of the relationship between PRNV Services and Referral Partners;
• Set out the eligibility, registration, and verification requirements applicable to Referral Partners;
• Establish the standards of ethical conduct, professionalism, and lawful behaviour expected of Referral Partners;
• Identify activities that are prohibited within the referral ecosystem;
• Protect the privacy, confidentiality, and information security interests of users, independent service providers, and PRNV Services;
• Set out the rights of PRNV Services to monitor, review, restrict, suspend, or terminate participation where reasonably necessary; and
• Provide a fair and transparent basis for resolving disputes, concerns, and incidents arising in connection with referral activity.
3. SCOPE AND APPLICABILITY
3.1 This Agreement applies to every Referral Partner, irrespective of whether such Referral Partner is an individual, a sole proprietorship, a partnership, a company, a community organization, a marketing entity, or any other form of business association.
3.2 This Agreement applies to all referral-related activity conducted in connection with the Platform, including registration, communication, promotion, outreach, and any other conduct undertaken in the capacity of a Referral Partner, whether such activity occurs online, offline, in person, or through any digital, telephonic, print, or social-media channel.
3.3 This Agreement operates in addition to, and not in substitution of, any other applicable PRNV Services terms of use, privacy policy, platform policies, or guidelines. In the event of any conflict specifically concerning referral participation, the terms of this Agreement shall prevail to the extent of such conflict.
3.4 This Agreement applies uniformly across all categories of Referral Partners, including business associates, marketing partners, and community partners, unless expressly stated otherwise in a supplementary policy published by PRNV Services.
4. DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings set out below, unless the context otherwise requires:
4.1 “Platform” means the website, mobile application, and any associated digital infrastructure operated by PRNV Services at www.prnvservices.com and through related applications.
4.2 “PRNV Services”, “Company”, “We”, “Our”, or “Us” means the entity operating the Platform, together with its officers, employees, and authorized representatives.
4.3 “Referral Partner”, “You”, or “Your” means any individual, organization, business associate, marketing partner, community partner, or other authorized person who registers for, or participates in, the referral ecosystem of the Platform.
4.4 “Independent Service Provider” means a technician, professional, or business entity that offers services through the Platform and operates independently of PRNV Services and of any Referral Partner.
4.5 “User” means any individual or entity that accesses the Platform to discover, communicate with, or connect with an Independent Service Provider.
4.6 “Referral Activity” means any act of introducing, referring, recommending, or directing a User or Independent Service Provider toward the Platform, undertaken by a Referral Partner.
4.7 “Content” means any text, image, audio, video, trademark, logo, or other material made available by PRNV Services through the Platform or otherwise provided to Referral Partners.
4.8 “Personal Information” means any information that identifies, or can reasonably be used to identify, a natural person, including names, contact details, and any other identifying data.
4.9 “Applicable Law” means all statutes, regulations, rules, governmental orders, and judicial pronouncements that apply to the subject matter of this Agreement within the relevant jurisdiction.
5. NATURE OF PLATFORM SERVICES
PRNV Services operates solely as a technology-enabled platform that facilitates service discovery, communication, and connections between Users and Independent Service Providers. PRNV Services does not itself perform, supervise, control, or guarantee the services offered by any Independent Service Provider.
The Platform serves as a digital meeting point that enables Users to identify and communicate with Independent Service Providers operating in their area of need. PRNV Services does not employ, supervise, or direct the day-to-day work of Independent Service Providers, and all service engagements occur directly and independently between Users and Independent Service Providers.
Nothing in this Agreement, and nothing in the design, branding, or functioning of the Platform, shall be construed as PRNV Services assuming responsibility for the quality, timeliness, legality, or outcome of any service performed by an Independent Service Provider, or for any interaction, transaction, or communication between a Referral Partner, a User, and an Independent Service Provider.
6. ELIGIBILITY AND REGISTRATION REQUIREMENTS
6.1 To participate as a Referral Partner, an applicant must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding agreement under Applicable Law.
6.2 An applicant must complete the registration process established by PRNV Services, which may include the submission of identifying information, contact details, and such other information as PRNV Services may reasonably require.
6.3 PRNV Services reserves the right, in its sole and reasonable discretion, to accept, decline, or place conditions upon any application for Referral Partner participation, including where an applicant fails to meet the eligibility criteria set out in this Agreement or any supplementary registration policy.
6.4 Organizations, business associates, marketing partners, and community partners applying for Referral Partner status must ensure that the individual completing registration on their behalf is duly authorized to bind that organization to this Agreement.
7. INDEPENDENT RELATIONSHIP OF REFERRAL PARTNERS
Referral Partners are independent participants in the PRNV Services ecosystem and are not employees, agents, representatives, partners, franchisees, joint venturers, or legal representatives of PRNV Services. Nothing in this Agreement shall be construed to create an employment relationship, a partnership, an agency relationship, a franchise relationship, or a joint venture between PRNV Services and any Referral Partner.
Referral Partners are not authorized to make any commitments, representations, warranties, promises, or legal obligations on behalf of PRNV Services. Any statement, undertaking, or representation made by a Referral Partner that purports to bind PRNV Services is unauthorized and shall have no legal effect on PRNV Services.
Referral Partners shall conduct their referral-related activity in their own name and capacity, and shall not represent, suggest, or imply that they are employed by, act on behalf of, or are authorized to speak for, PRNV Services, except to the limited extent expressly permitted under this Agreement.
8. ACCOUNT REGISTRATION AND VERIFICATION REQUIREMENTS
8.1 Every Referral Partner must create and maintain a single account on the Platform in their own name or in the name of the organization they represent, and must not create or maintain duplicate or multiple accounts for the purpose of circumventing any Platform policy.
8.2 PRNV Services may, at its discretion, request supporting documentation to verify the identity, contact details, or organizational standing of a Referral Partner before, during, or after registration.
8.3 A Referral Partner is solely responsible for maintaining the confidentiality of their account credentials and for all activity that occurs under their account. Any suspected unauthorized access must be reported promptly to PRNV Services in accordance with Section 19 of this Agreement.
8.4 PRNV Services reserves the right to decline, suspend, or revoke verification where the information provided is found to be false, incomplete, or misleading.
9. INFORMATION ACCURACY AND UPDATE OBLIGATIONS
9.1 Referral Partners must provide accurate, current, and complete information at the time of registration and at all times thereafter.
9.2 Referral Partners must promptly update their account information whenever any material change occurs, including changes to contact details, organizational status, or authorization to act on behalf of an organization.
9.3 PRNV Services shall not be responsible for any consequence arising from a Referral Partner's failure to maintain accurate or updated information.
10. ROLES AND RESPONSIBILITIES OF REFERRAL PARTNERS
Each Referral Partner agrees to undertake the following responsibilities in connection with their participation in the referral ecosystem:
• Provide accurate and truthful information to PRNV Services, Users, and Independent Service Providers at all times;
• Communicate professionally, courteously, and ethically in all interactions undertaken in the capacity of a Referral Partner;
• Respect the privacy and confidentiality obligations set out in this Agreement and any applicable PRNV Services privacy policy;
• Avoid making misleading statements or unauthorized representations regarding the Platform, PRNV Services, or Independent Service Providers;
• Comply with all applicable platform policies, guidelines, and Applicable Law in the conduct of referral activity; and
• Promptly report suspicious, fraudulent, or policy-violating activity to PRNV Services in accordance with Section 19.
11. ETHICAL CONDUCT AND PROFESSIONAL STANDARDS
Referral Partners must, at all times, conduct themselves with honesty, integrity, and professionalism. Referral Partners shall not engage in conduct that is deceptive, coercive, discriminatory, or otherwise inconsistent with generally accepted standards of fair and ethical business conduct.
Referral Partners shall treat Users, Independent Service Providers, and other Referral Partners with respect and shall not engage in conduct that is abusive, harassing, defamatory, or otherwise harmful to any person associated with the Platform.
Referral Partners shall exercise reasonable diligence to ensure that their referral activity does not create a false impression regarding the nature, quality, or guarantees associated with the Platform or any Independent Service Provider.
12. ACCEPTABLE PROMOTION AND COMMUNICATION PRACTICES
12.1 Referral Partners may promote the Platform through lawful and ethical means, including direct communication, word-of-mouth referral, and the use of promotional materials authorized by PRNV Services.
12.2 All promotional communication undertaken by a Referral Partner must be truthful, must not exaggerate or misrepresent the features, benefits, or guarantees of the Platform, and must clearly avoid creating the impression that the Referral Partner is an employee or official spokesperson of PRNV Services.
12.3 Referral Partners must comply with all Applicable Law governing unsolicited communication, including any applicable restrictions on telemarketing, bulk messaging, and electronic communication.
12.4 PRNV Services may, from time to time, issue supplementary promotional guidelines, and Referral Partners agree to comply with such guidelines as updated.
13. PROHIBITED ACTIVITIES AND RESTRICTIONS
Without limiting the generality of any other provision of this Agreement, Referral Partners shall not engage in any of the following activities:
• Identity misrepresentation or impersonation of any person, organization, or entity;
• False or misleading communications regarding the Platform, PRNV Services, or Independent Service Providers;
• Spam, harassment, or abusive conduct directed at Users, Independent Service Providers, or other Referral Partners;
• Unauthorized use of PRNV Services branding, logos, trademarks, or Content;
• Unauthorized collection, disclosure, or misuse of the personal information of any User, Independent Service Provider, or other person;
• Distribution of malicious software, harmful links, or harmful content of any kind through any channel associated with referral activity;
• Any activity that violates Applicable Law, applicable regulations, or any PRNV Services platform policy; and
• Any conduct that may harm, or has the potential to harm, Users, Independent Service Providers, or the integrity of the Platform.
A breach of this Section constitutes a material breach of this Agreement and may result in corrective action, suspension, or termination of participation in accordance with Sections 21 and 22.
14. BRAND USAGE AND COMMUNICATION GUIDELINES
14.1 Referral Partners may refer to PRNV Services and the Platform by name solely for the limited purpose of accurately describing the Platform in the course of authorized referral activity.
14.2 Referral Partners shall not use the PRNV Services name, logo, trademarks, or other branding in a manner that suggests endorsement, sponsorship, or affiliation beyond what is expressly authorized under this Agreement.
14.3 Referral Partners shall not alter, modify, or create derivative versions of any PRNV Services branding, marketing material, or Content without prior written authorization from PRNV Services.
14.4 PRNV Services reserves the right to require the discontinuation of any branding usage that does not conform to this Section.
15. PRIVACY, CONFIDENTIALITY, AND INFORMATION SECURITY OBLIGATIONS
Referral Partners shall treat all Personal Information and confidential information that they encounter in the course of referral activity with the highest degree of care, and shall use such information solely for the limited purpose for which it was shared.
Referral Partners shall not collect, store, disclose, sell, rent, or otherwise transfer any Personal Information belonging to Users or Independent Service Providers except as expressly authorized by PRNV Services and in compliance with Applicable Law.
Referral Partners shall implement reasonable safeguards to prevent the unauthorized access, use, or disclosure of any confidential or personal information that comes into their possession in connection with referral activity, and shall promptly notify PRNV Services of any suspected breach of such information.
16. INTELLECTUAL PROPERTY RIGHTS AND PROTECTION
16.1 All intellectual property associated with the Platform, including its name, logo, trademarks, software, design, and Content, is and shall remain the exclusive property of PRNV Services or its licensors.
16.2 Nothing in this Agreement grants a Referral Partner any ownership interest in, or licence to use, PRNV Services intellectual property beyond the limited, revocable, non-exclusive, and non-transferable permission to use authorized promotional materials strictly for the purpose of conducting referral activity.
16.3 Referral Partners shall not reproduce, copy, modify, reverse engineer, or create derivative works based on any part of the Platform or its Content without the prior written consent of PRNV Services.
16.4 Any unauthorized use of PRNV Services intellectual property shall entitle PRNV Services to pursue all remedies available under Applicable Law, in addition to any rights available under this Agreement.
17. DATA PROTECTION AND RESPONSIBLE INFORMATION HANDLING
PRNV Services is committed to responsible data protection practices and expects every Referral Partner to handle information encountered during referral activity in a manner consistent with this commitment.
Referral Partners shall process Personal Information only to the extent necessary for legitimate referral-related purposes, shall not retain such information beyond what is reasonably necessary, and shall delete or securely dispose of such information once it is no longer required.
Referral Partners shall cooperate with PRNV Services in connection with any data protection inquiry, audit, or regulatory request relating to referral activity conducted by them.
18. COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS
18.1 Referral Partners shall comply with all Applicable Law in the conduct of their referral activity, including laws relating to consumer protection, data protection, electronic communication, and business conduct.
18.2 Referral Partners shall be solely responsible for obtaining any licence, registration, or regulatory approval that may be required for them to lawfully conduct referral activity in their jurisdiction.
18.3 PRNV Services reserves the right to require evidence of compliance with this Section at any time, and a Referral Partner's failure to provide satisfactory evidence may result in corrective action under Section 21.
19. REPORTING ISSUES AND INCIDENT MANAGEMENT
19.1 Referral Partners shall promptly report to PRNV Services any suspected fraud, policy violation, security incident, or other irregularity that comes to their attention in connection with the Platform or referral activity.
19.2 Reports may be submitted using the contact details set out in Section 32 of this Agreement, or through any incident-reporting channel made available by PRNV Services.
19.3 PRNV Services shall review reported incidents in a timely and reasonable manner and may take such steps as it considers appropriate, including those described in Sections 21 and 22.
19.4 PRNV Services shall handle reports submitted in good faith with appropriate discretion and shall not penalize a Referral Partner solely for reporting a genuine concern.
20. MONITORING AND COMPLIANCE REVIEWS
PRNV Services may, at its discretion and where reasonably necessary, monitor and review Referral Partner activity for the purpose of ensuring compliance with this Agreement, protecting Platform integrity, and safeguarding the interests of Users and Independent Service Providers.
Monitoring may include the review of account activity, communications conducted in the capacity of a Referral Partner, and any reports or complaints received by PRNV Services. Monitoring shall be conducted in a manner consistent with Applicable Law and PRNV Services' privacy obligations.
Referral Partners agree to cooperate reasonably with any compliance review conducted by PRNV Services, including by providing requested information or clarification within a reasonable time.
21. CORRECTIVE ACTIONS AND REMEDIATION MEASURES
Where PRNV Services identifies a breach, suspected breach, or potential breach of this Agreement, it may, in its reasonable discretion, take one or more corrective actions, which may include:
• Issuing a written notice or warning to the Referral Partner identifying the concern;
• Requiring the Referral Partner to take specified remedial steps within a reasonable timeframe;
• Temporarily limiting specific referral-related features pending resolution of the concern; and
• Requiring additional verification or documentation from the Referral Partner.
PRNV Services shall act reasonably and proportionately in determining the appropriate corrective action, having regard to the nature and severity of the concern identified.
22. SUSPENSION, RESTRICTION, AND TERMINATION OF PARTICIPATION
22.1 PRNV Services may suspend, restrict, or terminate a Referral Partner's participation in the referral ecosystem where reasonably necessary to protect Users, Independent Service Providers, information assets, or Platform integrity, or to comply with a legal or regulatory obligation.
22.2 Grounds for suspension, restriction, or termination include, without limitation, a breach of Section 13 (Prohibited Activities and Restrictions), repeated or material non-compliance with this Agreement, or conduct that exposes PRNV Services, Users, or Independent Service Providers to harm or legal risk.
22.3 Wherever reasonably practicable, PRNV Services shall provide the Referral Partner with notice of the grounds for suspension, restriction, or termination and a reasonable opportunity to respond, except where immediate action is necessary to prevent harm, fraud, or a violation of Applicable Law.
22.4 A Referral Partner may also voluntarily withdraw from participation in the referral ecosystem at any time by providing notice to PRNV Services through the contact details set out in Section 32.
22.5 Termination or suspension of participation under this Section shall not, by itself, create any claim for compensation, and shall not be construed as terminating an employment relationship, partnership, agency relationship, franchise relationship, or joint venture, none of which exists under this Agreement.
23. LIMITATION OF LIABILITY
To the maximum extent permitted by Applicable Law, PRNV Services shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage arising out of or in connection with a Referral Partner's participation in the referral ecosystem, including any loss arising from interactions between a Referral Partner, a User, and an Independent Service Provider.
PRNV Services shall not be responsible for the conduct, statements, or omissions of any Referral Partner, User, or Independent Service Provider, and a Referral Partner's participation in the referral ecosystem is undertaken entirely at their own risk and discretion, subject to Applicable Law.
Nothing in this Section shall exclude or limit any liability that cannot lawfully be excluded or limited under Applicable Law.
24. INDEMNIFICATION
Each Referral Partner agrees to indemnify, defend, and hold harmless PRNV Services, together with its officers, employees, and authorized representatives, from and against any claim, liability, damage, loss, or expense, including reasonable legal costs, arising out of or in connection with:
• The Referral Partner's breach of this Agreement;
• The Referral Partner's violation of Applicable Law; or
• Any unauthorized representation, warranty, or commitment made by the Referral Partner purporting to bind PRNV Services.
This indemnification obligation shall survive the suspension, restriction, or termination of a Referral Partner's participation in the referral ecosystem.
25. DISCLAIMERS AND NO WARRANTIES
The Platform and all referral-related features are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the extent permitted by Applicable Law.
PRNV Services does not warrant or guarantee that referral activity will result in any particular outcome, and makes no representation regarding the volume, quality, or success of any referral undertaken by a Referral Partner.
PRNV Services expressly disclaims any authorization for a Referral Partner to act as an employee, agent, representative, or legal spokesperson of PRNV Services, and any representation to the contrary made by a Referral Partner is unauthorized and disclaimed in full.
26. FORCE MAJEURE
PRNV Services shall not be liable for any delay or failure to perform any obligation under this Agreement where such delay or failure arises from circumstances beyond its reasonable control, including natural disaster, governmental action, civil disturbance, network or infrastructure failure, or any other event of force majeure.
PRNV Services shall use reasonable efforts to notify Referral Partners of any such event that materially affects the referral ecosystem and to resume normal operation as soon as reasonably practicable.
27. AMENDMENTS AND UPDATES
PRNV Services may amend, update, or revise this Agreement from time to time to reflect changes in its operations, Applicable Law, or platform policies. The updated Agreement shall be published on the Platform and shall take effect from the date of publication unless otherwise specified.
Continued participation in the referral ecosystem following the publication of an updated Agreement constitutes acceptance of the updated terms. Referral Partners are encouraged to periodically review this Agreement to remain informed of any changes.
28. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by, and construed in accordance with, the laws of the Republic of India, without regard to any conflict of law principles.
Subject to Section 29 (Dispute Resolution), the courts having jurisdiction over the registered place of business of PRNV Services shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.
29. DISPUTE RESOLUTION
29.1 In the event of any dispute, controversy, or claim arising out of or in connection with this Agreement, the parties shall first attempt to resolve the matter amicably through good-faith negotiation.
29.2 If a dispute is not resolved through negotiation within a reasonable period, either party may refer the dispute to resolution through arbitration or such other mechanism as may be specified by PRNV Services in a supplementary policy, in accordance with Applicable Law.
29.3 Nothing in this Section shall prevent either party from seeking urgent interim relief from a competent court where reasonably necessary to prevent imminent harm.
30. SEVERABILITY
If any provision of this Agreement is held to be invalid, illegal, or unenforceable under Applicable Law, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if such modification is not possible, shall be severed from this Agreement. The remaining provisions of this Agreement shall continue in full force and effect.
31. ENTIRE AGREEMENT
This Agreement, together with any other PRNV Services policies expressly incorporated by reference, constitutes the entire agreement between PRNV Services and the Referral Partner with respect to participation in the referral ecosystem, and supersedes all prior understandings, representations, or agreements, whether written or oral, relating to the same subject matter.
No waiver of any provision of this Agreement shall be effective unless made in writing by PRNV Services, and no failure or delay by PRNV Services in exercising any right under this Agreement shall operate as a waiver of that right.
