1.    Introduction

1.1    PRNV Services (“PRNV Services”, “PRNV”, “the Platform”, “we”, “us”, or “our”) operates a technology-enabled digital platform that facilitates connections, discovery, and communication between users seeking services and independent service professionals and businesses offering them. This Limitation of Liability Policy (the “Policy”) sets out the basis on which the Platform and all associated digital services are made available, and the extent of, and limitations upon, the liability of PRNV Services in connection with their use.

1.2   This Policy forms an integral part of the terms and conditions governing access to and use of the Platform. It should be read together with the other policies published by PRNV Services, including the Terms and Conditions, Privacy Policy, Disclaimer and No-Warranty Policy, Force Majeure Policy, and Grievance Redressal Policy. In the event of any conflict between this Policy and another published policy on the subject matter of liability, this Policy shall prevail to the extent of such conflict, to the maximum extent permitted by applicable law.

1.3   By accessing, browsing, registering on, transacting through, or otherwise using the Platform in any manner, every user acknowledges that they have read, understood, and agreed to be bound by this Policy. Users who do not agree with any part of this Policy must immediately discontinue all use of the Platform.

2.    Purpose of This Limitation of Liability Policy

2.1     The purpose of this Policy is to clearly and transparently define the boundaries of legal responsibility of PRNV Services as a technology-enabled facilitation platform, and to allocate risk fairly and lawfully among PRNV Services and the users of its digital ecosystem.

2.2   In particular, this Policy is intended to:

•     Clarify the facilitative nature of PRNV Services as a platform that enables connections and communications, rather than a provider of the underlying professional services;

•     Set out the responsibilities of users in exercising independent judgment and verifying information before acting upon it;

•     Establish reasonable and lawful limitations on the liability of PRNV Services for matters that are outside its direct and reasonable control;

•     Disclaim liability for indirect, incidental, consequential, and similar damages to the maximum extent permitted by applicable law; and

•     Promote a transparent, secure, and reliable digital service environment while maintaining lawful protections appropriate to an intermediary technology platform.

2.3  Nothing in this Policy is intended to exclude or limit any liability that cannot lawfully be excluded or limited under applicable Indian law, including any statutory rights available to consumers that cannot be waived.

3.    Scope and Applicability

3.1     This Policy applies to all digital platforms, properties, products, features, and services operated, owned, controlled, or made available by PRNV Services, whether now existing or introduced in the future, including without limitation:

•     the Website — www.prnvservices.com and any sub-domains, web pages, and web-based interfaces;

•     Mobile Applications — any PRNV Services application for mobile, tablet, or other devices;

•     Customer Portals — dashboards, accounts, profile pages, listing pages, and self-service interfaces;

•     Online Services — search, discovery, listing, booking facilitation, and related digital functionality;

•     Communication Channels — in-platform messaging, notifications, email, call-connect features, chat, and other communication tools; and

•     Digital Content and Technology Platforms — all content, software, application programming interfaces, databases, and supporting technology infrastructure.

3.2  This Policy applies to and binds all categories of users of the Platform, including customers and end users, independent service professionals and businesses, business partners, visitors, and any other person or entity that accesses or uses the Platform in any capacity.

3.3   This Policy applies regardless of the device, network, operating system, browser, or means of access used, and regardless of whether access occurs from within or outside India, to the maximum extent permitted by applicable law.

4.    Definitions

In this Policy, unless the context otherwise requires, the following terms shall have the meanings set out below. Terms used but not defined here shall have the meanings given to them in the Terms and Conditions of PRNV Services.

5.    Nature of Platform Services

5.1   PRNV Services is, and operates exclusively as, a technology-enabled platform that facilitates connections and communications between Users seeking services and independent Service Professionals and businesses offering them. PRNV Services functions as an intermediary and facilitation layer that provides digital infrastructure, visibility, listing, discovery, and communication tools.

5.2    PRNV Services does not itself perform, render, undertake, supervise, control, or guarantee any of the underlying professional, technical, repair, healthcare, beauty, educational, transportation, real-estate, or other end-services that may be discovered, advertised, or arranged through the Platform. All such services are provided solely by independent Service Professionals acting in their own personal or professional capacity.

5.3   PRNV Services is not a party to, and assumes no responsibility for, any arrangement, dealing, communication, transaction, or engagement between a Customer and a Service Professional. Any such arrangement is a direct and independent matter between those parties. PRNV Services does not act as the employer, agent, partner, representative, contractor, or guarantor of any User.

5.4   The role of PRNV Services is limited to facilitating the means by which Users may find and connect with one another. The decision to engage, the terms of engagement, the manner of performance, the quality of work, and the outcome of any service remain entirely within the control and responsibility of the relevant Users.

6.    Platform Facilitation Disclaimer

6.1  All listings, profiles, descriptions, qualifications, claims, and other information appearing on the Platform in relation to Service Professionals are self-declared by, and remain the sole responsibility of, the respective Service Professionals. PRNV Services does not independently verify, endorse, recommend, certify, or guarantee any such information, nor the identity, skill, qualification, licensing, conduct, or trustworthiness of any Service Professional.

6.2    The appearance of any Service Professional, business, listing, or category on the Platform does not constitute an endorsement, recommendation, certification, approval, or guarantee by PRNV Services of any kind. The display order, search results, and visibility of listings are operational features of the Platform and must not be interpreted as a measure of quality, reliability, or suitability.

6.3   PRNV Services facilitates discovery and communication only. It does not guarantee that any connection will result in a satisfactory engagement, that any service will be performed, or that any expectation of a User will be met. Users acknowledge that the responsibility for evaluating and selecting any Service Professional, and for the consequences of that selection, rests entirely with the User.

7.    User Responsibilities

7.1    Users are responsible for exercising independent judgment, due diligence, and reasonable care before relying on any information available on the Platform and before making any decision, taking any action, or entering into any engagement based on such information.

7.2   Without limitation, each User agrees that they shall:

•     Independently verify the identity, credentials, qualifications, licensing, registration, and suitability of any Service Professional or business before engaging them;

•     Verify all information — including descriptions, claims, availability, and any other details — directly with the relevant party before acting upon it;

•     Use the Platform lawfully and in accordance with all Applicable Laws and the published policies of PRNV Services;

•     Provide accurate, current, and complete information when using the Platform and keep their account credentials secure and confidential;

•     Refrain from misuse of the Platform, including any unlawful, fraudulent, misleading, infringing, abusive, or unauthorized activity; and

•     Take responsibility for their own decisions and for the consequences of any engagement, communication, or transaction conducted directly with another User.

7.3    Users acknowledge that PRNV Services provides facilitation tools only and that the User remains solely responsible for the prudent and lawful use of those tools and for the outcomes of their own conduct.

8.    Assumption of Risk by Users

8.1   To the maximum extent permitted by applicable law, use of the Platform is undertaken at the User’s own risk. The Platform and all information and Content are provided on an “as available” and “as applicable” basis, without any assurance that they will meet the individual requirements, expectations, or circumstances of any particular User.

8.2   Users assume full responsibility and risk for: (a) their selection of, communication with, and engagement of any Service Professional or business; (b) their reliance on any listing, profile, rating, review, or other Content; (c) their decision to act, or refrain from acting, on the basis of information obtained through the Platform; and (d) the outcomes of any service performed by an independent Service Professional.

8.3    Users acknowledge that interactions and engagements arranged through facilitation may involve risks inherent in dealing with independent third parties, and that PRNV Services does not and cannot eliminate such risks. Users are encouraged to take appropriate precautions and to exercise the same care they would exercise in any independent dealing.

9.    Information Accuracy and Availability Disclaimer

9.1     While PRNV Services endeavours to maintain accurate and up-to-date information, the Platform and its Content are provided on an “as available” and “as applicable” basis. PRNV Services does not warrant or guarantee the accuracy, completeness, reliability, currency, or suitability of any information or Content available on or through the Platform.

9.2    Much of the Content, including listings, descriptions, qualifications, ratings, and reviews, is provided by Users and third parties. PRNV Services does not control, author, or independently

verify such Content, and accepts no responsibility for any error, omission, inaccuracy, misrepresentation, or outdated information contained within it.

9.3  PRNV Services does not guarantee uninterrupted availability, error-free operation, or suitability of the Platform for every individual requirement. The Platform may from time to time contain technical inaccuracies, typographical errors, or omissions, and PRNV Services reserves the right to correct, modify, update, or remove information at any time without prior notice and without liability.

9.4   Users are responsible for independently confirming any information before relying upon it, and PRNV Services shall not be liable for any decision made or action taken in reliance on information available on the Platform, to the maximum extent permitted by applicable law.

10.   Third-Party Services Disclaimer

10.1     The Platform may rely upon, integrate with, or provide access to Third-Party Services, systems, websites, applications, and infrastructure, including payment systems, telecommunications networks, internet service providers, hosting and cloud providers, mapping services, and authentication services. Such Third-Party Services are operated by independent parties and are not under the control of PRNV Services.

10.2  PRNV Services makes no representation or warranty regarding the availability, performance, accuracy, security, or reliability of any Third-Party Service, and shall not be responsible or liable for any act, omission, delay, failure, error, interruption, or deficiency of any third party or for any loss or damage arising therefrom.

10.3    Any links to third-party websites or resources are provided for convenience only. PRNV Services does not endorse and is not responsible for the content, products, services, policies, or practices of any third party. A User’s dealings with any third party are solely between the User and that third party, and are subject to the third party’s own terms and policies.

11.   Service Interruptions and Technical Errors

11.1   PRNV Services does not guarantee that the Platform will be available at all times, without interruption, or free from errors, defects, or technical failures. Access to the Platform may be suspended, restricted, delayed, or interrupted for a variety of reasons, many of which are outside the reasonable control of PRNV Services.

11.2   Without limitation, PRNV Services shall not be liable for any interruption, downtime, delay, error, or unavailability arising from or in connection with:

•     technical failures, defects, bugs, malfunctions, or downtime of the Platform or its supporting systems;

•     scheduled or emergency maintenance, upgrades, repairs, or other planned activities affecting availability;

•     delays or interruptions caused by factors beyond the reasonable control of PRNV Services;

•     failures, outages, or limitations of third-party systems, infrastructure, networks, or dependencies on which the Platform relies;

•     data transmission limitations, latency, congestion, packet loss, or connectivity issues; and

•     any modification, suspension, or discontinuation of any feature or part of the Platform.

11.3   PRNV Services will make reasonable efforts to restore availability following any interruption but assumes no obligation or liability for any consequence of such interruption, to the maximum extent permitted by applicable law.

12.   Security and Internet Communication Risks

12.1     PRNV Services implements reasonable technical and organizational security measures designed to protect the Platform and the information transmitted through it, consistent with applicable law and industry practice. However, no method of electronic transmission or storage is completely secure, and PRNV Services cannot and does not guarantee absolute security.

12.2  Users acknowledge that the transmission of information over the internet and communication networks carries inherent risks, including the risk of interception, unauthorized access, alteration, loss, or misuse by third parties. To the maximum extent permitted by applicable law, PRNV Services shall not be liable for any unauthorized access attempts, hacking, cyber-attacks, malware, phishing, data interception, or similar security incidents that occur despite the implementation of reasonable security measures.

12.3   Users are responsible for maintaining the confidentiality and security of their own account credentials, devices, and networks, and for any activity conducted through their account. PRNV Services shall not be liable for any loss or damage arising from a User’s failure to safeguard their credentials, from unauthorized use of their account, or from a compromise of the User’s own device or network.

13.   Limitation of Liability

13.1  The limitations and exclusions in this Policy apply to the fullest extent permitted by applicable law and reflect a fair and reasonable allocation of risk between PRNV Services and its Users, having regard to the facilitative nature of the Platform.

13.2  Without prejudice to the foregoing and to the extent that any liability cannot lawfully be wholly excluded, the aggregate liability of PRNV Services to any User, for all claims arising out of or in connection with the Platform during any twelve (12) month period, shall not exceed the total amount, if any, actually paid by that User directly to PRNV Services for access to the specific Platform feature giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or, where no such amount has been paid, shall be limited to the maximum extent permitted by applicable law.

13.3   PRNV Services shall not be liable for the acts, omissions, defaults, negligence, misconduct, fraud, or unlawful conduct of any User, Service Professional, or third party, nor for the quality, safety, legality, timeliness, or outcome of any service performed by an independent Service Professional. All such liability rests solely with the relevant party.

13.4   Nothing in this Policy shall operate to exclude or limit any liability that cannot be excluded or limited under applicable Indian law, including statutory rights of consumers that cannot lawfully be waived. Any such statutory rights, where available, vest against the relevant Service Professional and not against PRNV Services in respect of the underlying service.

14.   Exclusion of Certain Damages

14.1   To the maximum extent permitted by applicable law, PRNV Services, its affiliates, directors, officers, employees, agents, consultants, licensors, and suppliers shall not be liable for any of the following categories of loss or damage, whether direct or indirect, arising out of or in connection with the Platform or its use:

•     indirect damages of any nature;

•     incidental damages;

•     consequential damages;

•     special, exemplary, or punitive damages;

•     loss of use of the Platform or any service;

•     loss, corruption, or unavailability of data or information;

•     loss of business, business opportunities, contracts, anticipated savings, or goodwill;

•     reputational harm; and

•     service interruptions or losses arising from factors beyond the reasonable control of PRNV Services.

14.2   The exclusions in this section apply regardless of the form of action, whether in contract, tort (including negligence), under statute, or otherwise, and apply even if PRNV Services had been advised of, or could reasonably have foreseen, the possibility of such loss or damage.

15.   Indirect and Consequential Damages

15.1   For the avoidance of doubt, and without limiting the preceding section, PRNV Services shall not in any circumstances be liable for any indirect, incidental, special, or consequential loss or damage whatsoever arising out of or in connection with the Platform, including any such loss or damage arising from delay, interruption, error, omission, reliance on Content, or the conduct or outcome of any engagement between Users.

15.2      Users acknowledge and agree that such indirect and consequential losses are not recoverable from PRNV Services, and that this allocation of risk is a fundamental basis on which PRNV Services makes the Platform available, to the maximum extent permitted by applicable law.

16.   Loss of Data and Information

16.1   While PRNV Services takes reasonable measures to safeguard data processed through the Platform, it does not guarantee against the loss, corruption, deletion, or unavailability of data or information. To the maximum extent permitted by applicable law, PRNV Services shall not be liable for any loss of data or information arising from technical failures, transmission errors, system maintenance, third-party systems, unauthorized access attempts, user error, device compromise, or Force Majeure Events.

16.2  Users are responsible for maintaining their own copies and backups of any information that is important to them, and for taking reasonable precautions to protect their data. PRNV Services shall not be responsible for any consequence arising from a User’s failure to do so.

17.   Force Majeure Events

17.1   PRNV Services shall not be liable for any delay, interruption, failure, or non-performance of any part of the Platform or any obligation under this Policy where such delay, interruption, failure, or non-performance is caused by or results from a Force Majeure Event — that is, any event or circumstance beyond the reasonable control of PRNV Services.

17.2   Force Majeure Events include, without limitation:

•     acts of God, earthquakes, floods, storms, fires, and other natural disasters;

•     pandemics, epidemics, and public-health emergencies;

•     war, terrorism, insurgency, civil disturbance, riots, lockdowns, and curfews;

•     strikes, lockouts, and labour disputes;

•     governmental, regulatory, or judicial action, orders, directions, embargoes, or sanctions;

•     cyber-attacks, ransomware, distributed denial-of-service attacks, and large-scale security incidents;

•     failures or outages of internet, telecommunications, electricity, cloud, or hosting infrastructure;

•     failures or outages of payment, banking, or authentication systems; and

•     any other event of a comparable nature beyond the reasonable control of PRNV Services.

17.3   During the continuance of a Force Majeure Event, the affected obligations of PRNV Services shall be suspended, and PRNV Services shall use reasonable efforts to mitigate the effect of such event and to resume normal operations as soon as reasonably practicable.

18.   User Indemnification Obligations

18.1    Each User agrees to indemnify, defend, and hold harmless PRNV Services, its affiliates, directors, officers, employees, agents, consultants, licensors, and suppliers from and against any and all losses, claims, demands, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

•     Violation of Applicable Laws — any breach or violation by the User of any Applicable Law, regulation, or order;

•     Misuse of the Platform — any improper, unlawful, fraudulent, abusive, or unauthorized use of the Platform by the User;

•     Infringement of rights — any infringement or violation by the User of the intellectual property, privacy, publicity, or other rights of any person or entity;

•     Misrepresentation — any false, misleading, inaccurate, or incomplete information provided by the User, or any misrepresentation made by the User;

•     Unauthorized activities — any unauthorized access, activity, or transaction carried out by the User or through the User’s account; and

•     Breach of this Policy — any breach by the User of this Policy or of any other published policy or agreement of PRNV Services.

18.2   PRNV Services reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by a User, in which event the User shall cooperate with PRNV Services in asserting any available defence. This indemnification obligation shall survive the termination of a User’s access to or use of the Platform.

19.   Compliance with Applicable Laws

19.1  PRNV Services operates the Platform in accordance with the Applicable Laws of the Republic of India, including, where relevant, the Information Technology Act, 2000 and the rules made thereunder, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, the Digital Personal Data Protection Act, 2023, and other applicable statutes, rules, and regulations in force from time to time.

19.2    Each User is responsible for ensuring that their own access to and use of the Platform complies with all Applicable Laws that apply to them. Users must not use the Platform for any unlawful purpose or in any manner that would cause PRNV Services to be in breach of any Applicable Law.

19.3     PRNV Services reserves the right to cooperate with, and to disclose information to, competent authorities and regulators as required by Applicable Law, and to take such steps as may be necessary to comply with legal obligations, without thereby incurring any liability to any User.

20.   Severability

20.1   If any provision, clause, or part of this Policy is held by a court or competent authority to be invalid, illegal, void, or unenforceable under any Applicable Law, such provision shall be deemed modified to the minimum extent necessary to render it valid and enforceable, or, if such modification is not possible, shall be severed from this Policy.

20.2    The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of this Policy, which shall continue in full force and effect. In particular, if any limitation or exclusion of liability is held unenforceable in any respect, the remaining limitations and exclusions shall continue to apply to the fullest extent permitted by applicable law.

21.   Amendments and Updates

21.1   PRNV Services reserves the right to amend, revise, update, modify, supplement, or replace this Policy at any time, at its sole discretion, in order to reflect changes in its services, technology, business practices, or Applicable Laws, or for any other legitimate reason.

21.2   Any updated version of this Policy will be published on the Platform with a revised version reference and effective date. The amended Policy shall take effect from the date of its publication, unless otherwise stated. Continued use of the Platform after publication of an amended Policy constitutes acceptance of the amended Policy.

21.3    Users are encouraged to review this Policy periodically to remain informed of the current terms governing the limitation of liability. The version published on the Platform shall at all times be the authoritative and governing version.

22.   Governing Law and Jurisdiction

22.1    This Policy, and any dispute, claim, or matter arising out of or in connection with it or its subject matter, shall be governed by and construed in accordance with the laws of the Republic of India, without regard to any conflict-of-laws principles.

22.2  Subject to any applicable statutory provisions for dispute resolution, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with this Policy or the use of the Platform. Each User irrevocably submits to the exclusive jurisdiction of such courts and waives any objection to proceedings in such courts on the grounds of venue or forum.

22.3  Nothing in this section shall limit any right that a consumer may have under Applicable Law to bring proceedings before a competent consumer forum or other statutory authority where such right cannot lawfully be excluded.
