These assets collectively constitute the intellectual property of PRNV Services and are protected under applicable Indian and international intellectual property laws.

1.3  PRNV Services is firmly committed to protecting its own intellectual property rights, to respecting the intellectual property rights of third parties, and to promoting the lawful, ethical and responsible use of digital content and technology across all of its platforms and channels.

1.4  This Policy sets out the manner in which intellectual property associated with the PRNV Services platform is owned, protected, licensed and enforced, and explains the rights and obligations of every person who accesses or uses the platform.

2. Purpose of This Intellectual Property Policy

The purpose of this Intellectual Property Policy is to:

3.2  This Policy applies to every person who accesses or uses the platform in any capacity, including customers, service professionals, technicians, business partners, vendors, visitors and any other authorised or unauthorised user (collectively, “Users” and individually, a “User”).

3.3  This Policy is to be read together with the Terms and Conditions, Privacy Policy, Acceptable Use Policy and all other policies published on the platform. In the event of any conflict between this Policy and another policy specifically governing intellectual property, the provision affording the greater protection to PRNV Services’ intellectual property rights shall prevail, to the extent permitted by applicable law.

4. Definitions

For the purposes of this Policy, the following terms shall have the meanings set out below:

“Intellectual Property” or “IP”

5. Ownership of Intellectual Property

5.1  All Content, text, graphics, logos, trademarks, service marks, software, source code, databases, designs, layouts, look-and-feel, user interfaces, documentation and other materials available on or through the Platform are owned by, licensed to, or otherwise lawfully controlled by PRNV Services, unless otherwise expressly stated.

5.2  All right, title and interest in and to the Platform and its Intellectual Property — including all current and future enhancements, modifications, updates, derivative works and compilations — vest exclusively in PRNV Services or its licensors. All rights not expressly granted under this Policy are reserved.

5.3  Nothing in this Policy or on the Platform shall be construed as transferring or assigning any ownership of, or any right, title or interest in, any Intellectual Property to any User, whether by implication, estoppel, waiver or otherwise.

5.4  Where Content on the Platform is owned by a third party and used under licence or with authorisation, such Content remains the property of the relevant Rights Holder, and all applicable third-party rights are acknowledged and respected by PRNV Services.

6. Copyright Policy

6.1  All original works of authorship made available on the Platform — including website content, written material, articles, descriptions, graphics, images, illustrations, designs, layouts, audio-visual material, software and documentation — are protected by copyright under the Copyright Act, 1957 and applicable international copyright conventions.

6.2  The selection, arrangement, coordination, organisation and compilation of all Content on the Platform constitute a protected compilation and are the exclusive property of PRNV Services.

6.3  Except as expressly permitted under this Policy or under Applicable Law, no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, transmitted, distributed, modified, adapted, translated or otherwise exploited, in whole or in part, in any form or by any means, without the prior written permission of PRNV Services or the relevant Rights Holder.

6.4  All copyright notices, attributions, watermarks, metadata and other proprietary markings displayed on the Content must be retained and must not be removed, obscured or altered.

7. Trademark Policy

7.1  The PRNV Marks, including the names and marks “PRNV” and “PRNV Services”, together with all associated logos, taglines, trade names, brand identifiers and trade dress, are trademarks and service marks of PRNV Services, whether registered or unregistered, and are protected under the Trade Marks Act, 1999 and applicable law.

7.2  The PRNV Marks are valuable assets that distinguish the platform, services and reputation of PRNV Services. No User or third party may use, register, adopt, imitate or display any of the PRNV Marks, or any confusingly similar mark, name or domain, without the prior written authorisation of PRNV Services.

7.3  Users shall not use the PRNV Marks in any manner that is likely to cause confusion, deception or mistake, or that disparages, dilutes, tarnishes or otherwise harms the goodwill, distinctiveness or reputation associated with the PRNV Marks.

7.4  Any goodwill arising from the use of the PRNV Marks shall inure exclusively to the benefit of PRNV Services. Unauthorised use of the PRNV Marks constitutes trademark infringement and/or passing off and may result in civil and criminal liability under Applicable Law.

7.5  All trademarks, service marks and trade names of third parties that appear on the Platform are the property of their respective owners. The display of any third-party mark on the Platform does not imply any affiliation with, endorsement by, or sponsorship of PRNV Services unless expressly stated.

8. Brand Identity Protection

8.1  PRNV Services’ brand identity — including its logos, colour schemes, typography, design language, graphical elements, brand guidelines, slogans, trade dress and overall visual presentation — is a protected and integral part of the Company’s Intellectual Property and goodwill.

8.2  Users and third parties shall not reproduce, modify, distort, recreate, misrepresent or misappropriate any element of the PRNV Services brand identity, nor use it in any manner that may dilute, damage or compromise the integrity, reputation or distinctiveness of the brand.

8.3  The creation of counterfeit, look-alike, spoofed or impersonating platforms, websites, applications, profiles, communications or materials that imitate PRNV Services or its brand identity is strictly prohibited and will be pursued through all available legal remedies.

8.4  Brand assets may only be used by authorised parties strictly in accordance with written brand guidelines or a written authorisation issued by PRNV Services, and any such use must remain faithful to the approved presentation of the brand.

9. Website Content Ownership

9.1  All content published on the PRNV Services website and digital platforms — including page content, navigation structures, headings, descriptions, category listings, informational material, graphics, design elements and source materials — is owned by or licensed to PRNV Services and is protected as Intellectual Property.

9.2  The structure, sequence, organisation, layout and design of the website and applications, together with the underlying code and presentation, constitute proprietary works of PRNV Services.

9.3  Users may view, browse and access website content solely for their personal, lawful and non-commercial use of the Platform. Any other use, including systematic copying, harvesting, scraping, indexing, framing, mirroring or republication of website content, is prohibited without prior written permission.

9.4  PRNV Services may update, modify, supplement or remove website content at its sole discretion at any time, without prior notice and without incurring any liability.

10. Software and Technology Rights

10.1  All software, source code, object code, scripts, algorithms, business logic, application programming interfaces (APIs), frameworks, architecture, technical infrastructure and technology assets that power the Platform are the exclusive Intellectual Property of PRNV Services or its licensors.

10.2  Users shall not reverse engineer, decompile, disassemble, decrypt, extract, derive, reproduce or attempt to discover the source code, underlying structure, ideas, algorithms or trade secrets of any software or technology associated with the Platform, except to the limited extent expressly permitted by Applicable Law that cannot be excluded by agreement.

10.3  Users shall not modify, adapt, translate, create derivative works of, sublicense, lease, sell, distribute or otherwise commercially exploit any software, technology asset or part of the Platform.

10.4  Users shall not introduce any virus, malware, malicious code, automated agent, bot, crawler, scraper or other harmful or unauthorised technology to access, disrupt, interfere with, damage or compromise the Platform, its software, its technology assets or its security.

10.5  PRNV Services retains all rights in any feedback, suggestions or ideas provided by Users in relation to the software or technology, and may use such feedback without restriction or obligation.

11. Database Rights

11.1  The databases, data compilations, structured data, indexes, records and information repositories maintained by PRNV Services — including the selection, verification, arrangement and presentation of their contents — represent a substantial investment by PRNV Services and are protected as proprietary works and compilations under Applicable Law.

11.2  Users shall not extract, re-utilise, copy, harvest, scrape, mine, replicate, store or redistribute the whole or any substantial part of any database or its contents, whether by manual or automated means, without the prior written permission of PRNV Services.

11.3  Any unauthorised access to, extraction from, or use of PRNV Services’ databases is strictly prohibited and may constitute infringement, breach of contract and an offence under Applicable Law, including under the Information Technology Act, 2000.

12. Proprietary Information

12.1  Proprietary information of PRNV Services includes, without limitation, trade secrets, know-how, technical data, business methods, processes, designs, documentation, internal policies, product roadmaps, non-public features and any other confidential or proprietary materials relating to the Platform or the business of PRNV Services.

12.2  Users who obtain access to any proprietary or confidential information of PRNV Services, whether intentionally or inadvertently, shall keep such information strictly confidential, shall not disclose it to any third party, and shall not use it for any purpose other than as expressly authorised by PRNV Services in writing.

12.3  All proprietary information remains the exclusive property of PRNV Services at all times, and no rights in such information are granted to any User by virtue of access to or use of the Platform.

13. User-Generated Content

13.1  Users may submit, upload or post User-Generated Content to the Platform, including profile information, listings, descriptions, photographs, reviews, ratings, comments and feedback. As between PRNV Services and the User, ownership of original User-Generated Content remains with the User who created it, subject to the licence granted under this Section.

13.2  By submitting User-Generated Content, the User grants to PRNV Services a worldwide, non-exclusive, royalty-free, sub-licensable, transferable, perpetual and irrevocable licence to host, store, use, reproduce, adapt, publish, translate, display, distribute, promote and otherwise exploit such content in connection with the operation, provision, marketing and improvement of the Platform and the business of PRNV Services, to the extent permitted by Applicable Law.

13.3  Each User represents and warrants that: (a) the User owns or has obtained all necessary rights, licences, consents and permissions in respect of the User-Generated Content; (b) the User-Generated Content does not infringe or violate the Intellectual Property rights, privacy rights, publicity rights or any other rights of any third party; and (c) the User-Generated Content complies with this Policy and Applicable Law.

13.4  Users shall not upload, post or transmit any content that infringes the Intellectual Property rights of any third party, including counterfeit, pirated, plagiarised or unauthorised materials.

13.5  PRNV Services reserves the right, but assumes no obligation, to review, moderate, restrict, refuse, remove or disable access to any User-Generated Content that violates this Policy, infringes third-party rights, or is otherwise objectionable or unlawful, at its sole discretion and without prior notice.

13.6  PRNV Services acts as an intermediary in respect of User-Generated Content and does not endorse, verify or assume responsibility for any User-Generated Content. Liability for User-Generated Content rests solely with the User who submitted it.

14. Limited Licence to Use the Platform

14.1  Subject to a User’s continued compliance with this Policy and all applicable terms, PRNV Services grants the User a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Platform solely for its intended and lawful purpose.

14.2  This limited licence does not constitute a sale or transfer of any Intellectual Property and confers no ownership rights of any kind. All rights not expressly granted to the User are reserved by PRNV Services and its licensors.

14.3  The limited licence is personal to the User and may not be assigned, transferred, sub-licensed or otherwise made available to any third party without the prior written consent of PRNV Services.

14.4  PRNV Services may suspend, restrict, modify or revoke the limited licence at any time, with or without notice, where a User breaches this Policy, engages in prohibited activities, or where required to protect the Platform, its Intellectual Property or any third-party rights.

15. Acceptable Use of Intellectual Property

Users may use the Platform and its Content only in a manner that is lawful, ethical and consistent with this Policy. Acceptable use includes:

•     accessing and viewing Content for personal, lawful and non-commercial use of the Platform;

•     using the features and functionalities of the Platform for their intended purpose;

•     submitting User-Generated Content that the User is lawfully entitled to submit and that complies with this Policy;

•     using Content or PRNV Marks strictly in accordance with a written permission or authorisation granted by PRNV Services; and

•     respecting all copyright, trademark and other proprietary notices displayed on the Platform.

16. Prohibited Activities

Without limiting any other provision of this Policy, Users shall not, and shall not permit or facilitate any third party to:

(a)  copy, reproduce, republish, download, post, upload, transmit, publicly display or otherwise distribute any Content, in whole or in part, without prior written permission;

(b)  modify, adapt, translate, create derivative works from, or reverse engineer any Content, software, technology asset or part of the Platform;

(c)   sell, lease, license, sub-license, rent, assign or otherwise commercially exploit any Content or part of the Platform;

(d)  use, register or display any of the PRNV Marks, or any confusingly similar mark, name or domain, without prior written authorisation;

(e)  remove, obscure, alter or falsify any copyright, trademark, watermark, attribution or other proprietary notice;

(f)    extract, harvest, scrape, mine, index, frame, mirror or systematically retrieve any Content, data or database, whether manually or by automated means;

(g)  create counterfeit, look-alike, spoofed or impersonating platforms, websites, applications, profiles or communications that imitate PRNV Services or its brand identity;

(h)  upload, post or transmit any content that infringes the Intellectual Property rights of any third party, including pirated, counterfeit or plagiarised material;

(i)    use any Content of the Platform to train, develop or fine-tune any artificial-intelligence or machine-learning model, or to build any competing product or service; and

(j)    engage in any other act that violates the Intellectual Property rights of PRNV Services or any third party, or that breaches Applicable Law.

17. Permissions and Authorised Use

17.1  Any use of PRNV Services’ Intellectual Property beyond the limited rights expressly granted under this Policy requires the prior written permission of PRNV Services.

17.2  Requests for permission to use any Content, PRNV Marks or other Intellectual Property must be submitted in writing to PRNV Services using the contact details set out in Section 26, and must clearly specify the materials concerned, the intended use, the duration and the manner of use.

17.3  PRNV Services may grant, refuse or condition any permission at its sole discretion. Any permission granted is limited to the specific use, scope and duration expressly authorised in writing, is non-exclusive and revocable, and does not constitute a transfer of ownership of any Intellectual Property.

17.4  Any use of Intellectual Property that exceeds, or is inconsistent with, the scope of a granted permission shall be treated as unauthorised use and a violation of this Policy.

18. Reporting Intellectual Property Violations

18.1  PRNV Services respects the Intellectual Property rights of others and provides a mechanism for Rights Holders to report alleged infringement occurring on or through the Platform.

18.2  Any Rights Holder who believes in good faith that content on the Platform infringes its Intellectual Property rights may submit a written notice of infringement to the Grievance Officer at the contact details set out in Section 26.

18.3  To enable PRNV Services to act effectively, a notice of infringement should include, at a minimum:

•     the name, address, telephone number and email address of the complainant;

•     identification of the Intellectual Property right claimed to have been infringed (for example, the copyrighted work or the trademark) and evidence of ownership or authority to act;

•     identification of the allegedly infringing content and its specific location on the Platform (such as the URL or listing reference);

•     a statement that the complainant has a good-faith belief that the use complained of is not authorised by the Rights Holder, its agent or the law;

•     a statement that the information in the notice is accurate; and

•     the physical or electronic signature of the complainant or a person authorised to act on the complainant’s behalf.

18.4  PRNV Services may request additional information or documentation to verify a complaint and may decline to act on notices that are incomplete, frivolous, vexatious or made in bad faith.

19. Copyright Infringement Complaint Procedure

19.1  Upon receipt of a valid notice of alleged copyright infringement, PRNV Services will acknowledge the complaint and review it in accordance with this Policy and Applicable Law, including the Copyright Act, 1957 and the Information Technology Act, 2000 and the rules made thereunder.

19.2  Where PRNV Services determines that content is or may be infringing, it may, at its sole discretion and without admission of liability, disable access to, restrict or remove the relevant content.

19.3  PRNV Services may notify the User who submitted the affected content of the complaint and of any action taken. The affected User may submit a counter-notice if the User believes, in good faith, that the content was removed or disabled as a result of mistake or misidentification.

19.4  A counter-notice should identify the affected content, explain the basis for the User’s good-faith belief, and include the User’s contact details and a statement of accuracy. PRNV Services may restore content where appropriate and consistent with Applicable Law.

19.5  PRNV Services may retain records relating to infringement complaints and counter-notices, and may share relevant information with law-enforcement or judicial authorities where required by law.

20. Trademark Infringement Procedure

20.1  A Rights Holder who believes that content on the Platform infringes its trademark, service mark or trade name, or constitutes passing off, may submit a written complaint to the Grievance Officer at the contact details set out in Section 26.

20.2  A trademark complaint should include details of the registered or unregistered mark relied upon, evidence of ownership or authority, identification of the allegedly infringing content and its location, and an explanation of how the content is likely to cause confusion, deception or dilution.

20.3  Upon receipt of a valid trademark complaint, PRNV Services will review the complaint and may, at its sole discretion, disable access to, restrict, remove or require modification of the allegedly infringing content, and may notify the relevant User.

20.4  PRNV Services reserves all rights to take any further action it considers appropriate to protect the PRNV Marks and the rights of third parties, including referral to enforcement or judicial authorities.

21. Investigation and Enforcement Actions

21.1  PRNV Services reserves the right to investigate any suspected or reported violation of this Policy. Users shall cooperate fully, promptly and in good faith with any investigation conducted by PRNV Services, including by providing relevant information, documents and access reasonably requested.

21.3  PRNV Services shall pursue and preserve all remedies available to it under the Copyright Act, 1957, the Trade Marks Act, 1999, the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023 and other Applicable Law. No action or inaction by PRNV Services shall constitute a waiver of any right or remedy.

21.4  Any enforcement action taken by PRNV Services is without prejudice to, and in addition to, any other right or remedy available to PRNV Services or any affected Rights Holder under contract, equity or law.

22. Repeat Infringement Policy

22.1  PRNV Services maintains a policy of taking firm action against repeat infringers. A User who is found, on more than one occasion, to have infringed Intellectual Property rights or to have violated this Policy may be treated as a repeat infringer.

22.2  In the case of repeat infringement, PRNV Services may, in addition to any other action available under this Policy, permanently restrict, suspend or terminate the User’s access to the Platform and any associated accounts, without prior notice and without liability.

22.3  PRNV Services may retain records of repeat infringement and may take such records into account in determining appropriate corrective and enforcement actions, including the refusal of future access to the Platform.

23. Limitation of Liability

23.1  To the fullest extent permitted by Applicable Law, PRNV Services shall not be liable for any loss or damage arising from any infringement of Intellectual Property rights by any User or third party, or from any User-Generated Content submitted to the Platform.

23.2  PRNV Services acts as an intermediary and exercises its rights of moderation, removal and enforcement on a discretionary, good-faith basis. The exercise or non-exercise of such rights shall not give rise to any liability on the part of PRNV Services, nor shall it be construed as an assumption of responsibility for any content.

23.3  PRNV Services shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, goodwill, data or business, arising out of or in connection with intellectual property matters on the Platform, whether based in contract, tort, statute or otherwise.

23.4  Each User agrees to indemnify and hold harmless PRNV Services, its directors, officers, employees, agents and licensors against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of or relating to the User’s infringement of any Intellectual Property right or breach of this Policy.

23.5  Nothing in this Section shall exclude or limit any liability that cannot be excluded or limited under Applicable Law.

24. Policy Updates and Amendments

24.1  PRNV Services reserves the right to amend, update, revise, supplement or replace this Policy at any time, at its sole discretion, in order to reflect changes in its practices, technology, business or Applicable Law.

24.2  Any updated version of this Policy will be published on the Platform with a revised effective date. The continued access to or use of the Platform after publication of an updated Policy constitutes acceptance of the amended Policy.

24.3  Users are encouraged to review this Policy periodically to remain informed of their rights and obligations in respect of Intellectual Property.

25. Governing Law and Jurisdiction

25.1  This Policy and all matters arising out of or in connection with it shall be governed by, and construed in accordance with, the laws of the Republic of India, including without limitation the Copyright Act, 1957, the Trade Marks Act, 1999, the Information Technology Act, 2000 and the rules made thereunder (including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021), the Indian Contract Act, 1872, the Bharatiya Nyaya Sanhita, 2023 and all other applicable Indian statutes, rules and regulations in force from time to time.
