1. Introduction
1.1. This Indemnification Policy ("Policy") governs the indemnification rights and obligations arising in connection with the access to and use of the digital platforms, technology infrastructure, and online services operated by PRNV Services ("PRNV Services," "Platform," "Company," "we," "us," or "our").
1.2. PRNV Services operates a technology-enabled platform that facilitates connections, interactions, and communications between users seeking services and independent service professionals offering such services. The Platform functions as a digital intermediary that enables discovery, listing, communication, and coordination between these parties.
1.3. This Policy forms an integral part of, and must be read together with, the PRNV Services Terms of Use, Privacy Policy, and all other applicable policies, guidelines, and agreements published on or made available through the Platform (collectively, the "Platform Agreements"). In the event of any conflict between this Policy and a specific provision of another Platform Agreement on the subject of indemnification, the provision providing the broadest protection to PRNV Services shall, to the extent permitted by Applicable Law, prevail.
1.4. By accessing, browsing, registering on, or otherwise using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by the terms of this Policy.
2. Purpose of This Indemnification Policy
2.1. The purpose of this Policy is to clearly define the circumstances under which Users, Service Professionals, and other parties interacting with the Platform are required to defend, indemnify, and hold harmless PRNV Services and its associated persons from and against claims, liabilities, damages, losses, and expenses.
2.2. This Policy is intended to:
(a) establish a transparent and enforceable framework for the allocation of legal responsibility;
(b) protect PRNV Services, its affiliates, and its associated personnel from harm arising out of the acts or omissions of Users and Service Professionals;
(c) reinforce responsible, lawful, and good-faith conduct by all parties using the Platform;
(d) clarify the procedures applicable to the notification, investigation, management, and resolution
of indemnifiable claims; and
(e) promote a secure, trustworthy, and compliant technology-enabled service environment.
2.3. This Policy reflects the role of PRNV Services as a facilitator of connections and communications and does not alter the independent legal responsibilities that Users and Service Professionals bear for their own conduct, representations, transactions, and engagements.
3. Scope and Applicability
3.1. Platforms Covered. This Policy applies to all digital platforms and services operated by PRNV Services, including without limitation:
(a) the website at prnvservices.com and all associated sub-domains and web pages;
(b) PRNV Services mobile applications across all operating systems and devices;
(c) customer portals, dashboards, and user accounts;
(d) all online services, features, tools, and functionalities made available through the Platform;
(e) communication channels, including in-platform messaging, notifications, chat features, email, and telephonic or electronic communications facilitated through the Platform; and
(f) all digital content, technology platforms, application programming interfaces, and related infrastructure operated by or on behalf of PRNV Services.
3.2. Persons Covered. This Policy applies to and is binding upon all persons who access or use the Platform, including:
(a) Users (including customers and visitors);
(b) Service Professionals;
(c) registered and unregistered account holders; and
(d) any other person or entity that interacts with, transacts through, or derives benefit from the Platform.
3.3. Continuing Effect. The obligations under this Policy apply throughout the period of access to or use of the Platform and shall survive the termination, suspension, deactivation, or expiry of any account, registration, or relationship with PRNV Services, to the extent necessary to give effect to the indemnification obligations contained herein.
4. Definitions
For the purposes of this Policy, the following terms shall have the meanings assigned to them below. Capitalized terms not defined here shall have the meanings given to them in the other Platform Agreements.
4.1. "Affiliates" means, in relation to PRNV Services, any entity that directly or indirectly controls, is controlled by, or is under common control with PRNV Services.
4.2. "Applicable Law" means all applicable statutes, enactments, acts, laws, ordinances, rules, regulations, notifications, guidelines, policies, directions, and orders of any governmental, statutory, regulatory, or judicial authority in India having jurisdiction, as may be amended from time to time.
4.3. "Claim" means any claim, demand, action, suit, proceeding, investigation, notice, or proceeding of any nature, whether civil, criminal, regulatory, administrative, or otherwise, brought by any person or authority.
4.4. "Content" means any text, data, information, images, photographs, graphics, audio, video, listings, reviews, ratings, communications, or other materials submitted, uploaded, transmitted, displayed, or otherwise made available on or through the Platform.
4.5. "Indemnified Parties" means PRNV Services and its Affiliates, and their respective officers, directors, partners, promoters, employees, representatives, agents, consultants, contractors, service providers, licensors, successors, assigns, and authorized personnel.
4.6. "Indemnifying Party" means any User, Service Professional, or other person who is obligated to provide indemnification under this Policy.
4.7. "Losses" means any and all liabilities, damages, losses, costs, charges, expenses, fines, penalties, interest, settlements, and reasonable legal and professional fees and expenses, whether direct or indirect, incurred or suffered by the Indemnified Parties.
4.8. "Platform Services" means the technology-enabled services provided by PRNV Services that facilitate connections, discovery, listing, communication, and coordination between Users and Service Professionals.
4.9. "Service Professional" means any independent technician, service provider, vendor, contractor, or professional who lists, offers, advertises, or provides services through or in connection with the Platform.
4.10. "Third Party" means any person or entity other than PRNV Services and the party concerned, including other Users, other Service Professionals, regulators, and members of the public.
4.11. "User" means any person who accesses, browses, registers on, or uses the Platform to discover, evaluate, contact, or engage Service Professionals, including customers and visitors.
5. Nature of Platform Services
5.1. Technology-Enabled Facilitation. PRNV Services provides a technology-enabled platform whose principal function is to facilitate connections and communications between Users and independent Service Professionals. The Platform enables Users to discover, evaluate, and contact Service Professionals, and enables Service Professionals to list and showcase their services.
5.2. Intermediary Role. PRNV Services acts as an intermediary that hosts and transmits information provided by Users and Service Professionals. PRNV Services does not, by virtue of operating the Platform, become a party to any contract, engagement, transaction, or arrangement entered into between a User and a Service Professional.
5.3. Independent Relationship. Service Professionals are independent persons and are not
employees, agents, partners, or representatives of PRNV Services. The services rendered by a Service Professional are performed solely by, and at the responsibility of, that Service Professional. PRNV Services does not perform, supervise, control, guarantee, or assume responsibility for the quality, safety, legality, timeliness, or outcome of any service performed by a Service Professional.
5.4. No Endorsement or Warranty. Listings, ratings, reviews, profiles, and other Content displayed on the Platform are generated by Users and Service Professionals. PRNV Services facilitates the display of such Content but does not warrant, endorse, or assume responsibility for its accuracy, completeness, or reliability.
5.5. Allocation of Responsibility. Given the facilitative nature of the Platform, the legal responsibility for acts, omissions, representations, conduct, and transactions rests with the User or Service Professional responsible for the same. This Policy gives effect to that allocation of responsibility.
6. User Responsibilities
6.1. Each User agrees to access and use the Platform in a lawful, responsible, and good-faith manner and in compliance with all Platform Agreements and Applicable Law.
6.2. Each User shall:
(a) provide accurate, current, and complete information when registering, transacting, or communicating through the Platform;
(b) maintain the confidentiality and security of account credentials and accept responsibility for all activity carried out under the User's account;
(c) use the Platform only for legitimate purposes and not for any unlawful, fraudulent, abusive, or unauthorized activity;
(d) respect the rights, including intellectual property rights and privacy rights, of PRNV Services, Service Professionals, and Third Parties;
(e) refrain from posting or transmitting any Content that is unlawful, defamatory, misleading, infringing, harmful, or otherwise objectionable; and
(f) independently evaluate, verify, and exercise due diligence before engaging any Service Professional or relying on any Content.
6.3. The User acknowledges that the User is solely responsible for the User's interactions, communications, engagements, and transactions with Service Professionals and Third Parties, and for the consequences arising therefrom.
7. Service Professional Responsibilities
7.1. Each Service Professional agrees to use the Platform in a lawful, professional, and good-faith manner and in compliance with all Platform Agreements and Applicable Law.
7.2. Each Service Professional shall:
(a) provide accurate, current, complete, and non-misleading information regarding identity, qualifications, credentials, registrations, licenses, experience, and services offered;
(b) hold and maintain all licenses, permits, registrations, and authorizations required under Applicable Law to lawfully offer and perform the relevant services;
(c) perform all services competently, safely, lawfully, and in accordance with applicable standards and the expectations communicated to the User;
(d) refrain from any misrepresentation, false advertising, fraudulent conduct, or unauthorized activity;
(e) respect the rights, including intellectual property rights and privacy rights, of PRNV Services,
Users, and Third Parties; and
(f) comply with all obligations relating to taxation, statutory dues, consumer protection, workplace safety, and any other legal requirements applicable to the services rendered.
7.3. The Service Professional acknowledges that the Service Professional is solely responsible for the services offered and performed, for all representations made, and for all interactions, communications, engagements, and transactions with Users and Third Parties, and for the consequences arising therefrom.
8. Platform Responsibilities
8.1. PRNV Services is committed to operating the Platform responsibly, transparently, and in accordance with Applicable Law.
8.2. PRNV Services endeavours to:
(a) maintain and operate a reliable technology-enabled platform that facilitates connections and communications;
(b) implement reasonable technical and organizational measures designed to support the security and integrity of the Platform;
(c) handle personal data in accordance with its Privacy Policy and Applicable Law; and
(d) provide channels through which Users, Service Professionals, and Third Parties may raise concerns, grievances, or notices.
8.3. Limitations on Platform Responsibility. Consistent with the facilitative and intermediary nature of the Platform described in Section 5, PRNV Services does not assume responsibility for, and the obligations in this Section 8 do not extend to, the acts, omissions, conduct, representations, services, or transactions of Users, Service Professionals, or Third Parties. Nothing in this Section 8 shall be construed to dilute, waive, or limit the indemnification obligations owed to the Indemnified Parties under this Policy.
9. Indemnification Obligations
9.1. General Undertaking. To the maximum extent permitted by Applicable Law, each User and each Service Professional agrees to defend, indemnify, and hold harmless the Indemnified Parties from and against any and all Claims and Losses arising out of, relating to, or in connection with the matters described in Section 10 and elsewhere in this Policy.
9.2. Scope of Indemnity. The indemnification obligation extends to Claims and Losses asserted by any person, including Users, Service Professionals, Third Parties, regulatory authorities, and governmental bodies, and includes reasonable legal expenses, attorneys' and professional fees, costs of investigation, settlement amounts, and amounts awarded by a court, tribunal, or competent authority.
9.3. Defence Obligation. Where required by PRNV Services, the Indemnifying Party shall, at its own cost, defend any Claim covered by this Policy using counsel reasonably acceptable to PRNV Services. PRNV Services shall, however, retain the right (but not the obligation) described in Section 20 to assume or participate in the control of the defence of any such Claim.
9.4. No Settlement Without Consent. The Indemnifying Party shall not settle, compromise, or consent to the entry of any judgment with respect to any Claim in a manner that imposes any obligation or liability on, or adversely affects the rights or interests of, any Indemnified Party without the prior written consent of PRNV Services.
9.5. Independent Obligation. The indemnification obligations under this Policy are independent, continuing obligations and are in addition to, and not in substitution for, any other rights or remedies available to the Indemnified Parties under any Platform Agreement, at law, or in equity.
10. Events Giving Rise to Indemnification
10.1. Without limiting the generality of Section 9, each User and each Service Professional agrees to indemnify the Indemnified Parties from and against all Claims and Losses arising out of or in connection with any of the following:
(a) violation of any Applicable Law;
(b) breach of any Platform Agreement, including any term, policy, guideline, or agreement applicable to the Platform;
(c) any misrepresentation, inaccurate, incomplete, or false information provided to PRNV Services, Users, Service Professionals, or Third Parties;
(d) any fraudulent, unlawful, or unauthorized activity;
(e) infringement or misappropriation of any intellectual property rights;
(f) violation of data privacy, data protection, or information security obligations;
(g) misuse of the Platform, including misuse of any feature, communication channel, account, or technology;
(h) negligence, wilful misconduct, or wrongful acts or omissions;
(i) any service offered, performed, or omitted by a Service Professional, or any interaction or transaction between a User and a Service Professional; and
(j) any Third-Party Claim resulting from the acts or omissions of the User or the Service Professional.
10.2. Sections 11 to 17 elaborate upon specific categories of indemnifiable events. These sections are illustrative and do not limit the broad scope of the indemnification obligations set out in Sections 9 and 10.
11. Violation of Applicable Laws
11.1. Each User and Service Professional shall indemnify the Indemnified Parties against all Claims and Losses arising out of or in connection with any violation, contravention, or non-compliance with Applicable Law, including without limitation laws relating to consumer protection, electronic commerce, information technology, taxation, labour and employment, occupational safety, licensing and registration, anti-fraud, and any sector-specific regulations governing the services concerned.
11.2. The Indemnifying Party shall be solely responsible for ensuring its own compliance with Applicable Law and shall not rely on PRNV Services for any legal, regulatory, tax, or compliance advice.
12. Breach of Terms, Policies, or Agreements
12.1. Each User and Service Professional shall indemnify the Indemnified Parties against all Claims and Losses arising out of or in connection with any breach or alleged breach of the Platform Agreements, including the Terms of Use, Privacy Policy, this Policy, community or conduct guidelines, and any other policy, term, condition, or agreement governing access to or use of the Platform.
12.2. This obligation extends to breaches of representations, warranties, covenants, and undertakings made by the Indemnifying Party under any Platform Agreement.
13. Misrepresentation or False Information
13.1. Each User and Service Professional shall indemnify the Indemnified Parties against all Claims and Losses arising out of or in connection with any misrepresentation or the provision of any false, inaccurate, incomplete, misleading, or fraudulent information, including in relation to:
(a) identity, contact details, address, or account information;
(b) qualifications, credentials, licenses, registrations, certifications, or experience;
(c) the nature, scope, quality, pricing, or availability of services;
(d) listings, profiles, advertisements, reviews, or ratings; and
(e) any communication or representation made through the Platform.
13.2. The Indemnifying Party shall be responsible for ensuring the accuracy, authenticity, and completeness of all information it submits to, or displays on, the Platform.
14. Fraudulent, Unlawful, or Unauthorized Activities
14.1. Each User and Service Professional shall indemnify the Indemnified Parties against all Claims and Losses arising out of or in connection with any fraudulent, unlawful, or unauthorized activity, including without limitation:
(a) fraud, deceit, forgery, impersonation, or identity theft;
(b) unauthorized access to, or interference with, the Platform, accounts, systems, networks, or data;
(c) use of the Platform for money laundering, financing of unlawful activities, or other illegal purposes;
(d) distribution of malware, viruses, harmful code, or any activity that disrupts or compromises the Platform;
(e) circumvention of security measures, access controls, or usage restrictions; and
(f) any other activity carried out without lawful authority or in excess of the rights granted under the Platform Agreements.
15. Intellectual Property Infringement Claims
15.1. Each User and Service Professional shall indemnify the Indemnified Parties against all Claims and Losses arising out of or in connection with any actual or alleged infringement, violation, or misappropriation of any intellectual property rights, including copyrights, trademarks, trade names, service marks, patents, designs, trade secrets, or other proprietary rights of PRNV Services or any Third Party.
15.2. This obligation includes Claims arising from any Content uploaded, posted, transmitted, displayed, or otherwise made available by the Indemnifying Party through the Platform that infringes or misappropriates the rights of any person.
15.3. The Indemnifying Party represents and warrants that it holds all necessary rights, licenses, and permissions in respect of any Content it makes available on the Platform.
16. Data Privacy and Security Violations
16.1. Each User and Service Professional shall indemnify the Indemnified Parties against all Claims and Losses arising out of or in connection with any violation of data privacy, data protection, or information security obligations, including without limitation:
(a) unlawful, unauthorized, or improper collection, use, processing, storage, disclosure, sharing, or transfer of personal data or sensitive information;
(b) breach of obligations under Applicable Law relating to data protection and information technology;
(c) any data breach, security incident, or unauthorized disclosure caused by the acts or omissions of the Indemnifying Party; and
(d) misuse of personal data of Users, Service Professionals, or Third Parties obtained through or in connection with the Platform.
16.2. The Indemnifying Party shall handle all personal data accessed through the Platform strictly in accordance with Applicable Law, the PRNV Services Privacy Policy, and the limited purpose for which such data was made available.
17. Third-Party Claims and Disputes
17.1. Each User and Service Professional shall indemnify the Indemnified Parties against all Claims and Losses asserted by any Third Party arising out of or in connection with the acts, omissions, conduct, representations, services, communications, or transactions of the Indemnifying Party.
17.2. PRNV Services is not a party to, and assumes no responsibility for, disputes arising between Users and Service Professionals, or between either of them and any Third Party. Such disputes shall be resolved directly between the parties concerned. Where any such dispute results in a Claim against any Indemnified Party, the Indemnifying Party shall indemnify the Indemnified Parties in accordance with this Policy.
17.3. PRNV Services may, at its sole discretion and without obligation, provide reasonable information or assistance to facilitate the resolution of such disputes, and such assistance shall not be construed as an admission of liability or assumption of responsibility.
18. Cooperation and Notification Procedures
18.1. Notification of Claims. PRNV Services shall use reasonable efforts to notify the Indemnifying Party in writing of any Claim for which indemnification is or may be sought. A delay or failure to provide such notice shall not relieve the Indemnifying Party of its obligations under this Policy, except to the extent the Indemnifying Party is materially and demonstrably prejudiced by such delay or failure.
18.2. Notification by Indemnifying Party. The Indemnifying Party shall promptly notify PRNV Services in writing upon becoming aware of any Claim, threatened Claim, or circumstance that may give rise to a Claim against any Indemnified Party.
18.3. Cooperation Obligations. The Indemnifying Party shall fully cooperate with PRNV Services and the Indemnified Parties in connection with the assessment, defence, settlement, or resolution of any Claim, including by:
(a) providing accurate, complete, and timely information, documents, and records;
(b) making available relevant personnel and witnesses;
(c) executing such documents and taking such actions as may reasonably be required; and
(d) refraining from any action that may prejudice the defence or resolution of the Claim.
18.4. Preservation of Evidence. Upon becoming aware of any Claim or potential Claim, the Indemnifying Party shall preserve, and shall not alter, conceal, destroy, or dispose of, any documents, records, communications, data, or other evidence relevant to such Claim.
19. Investigation and Resolution Process
19.1. Right to Investigate. PRNV Services reserves the right to investigate any conduct, activity, Content, Claim, or circumstance that may give rise to indemnification or that may otherwise affect the rights or interests of the Indemnified Parties.
19.2. Conduct of Investigation. In conducting an investigation, PRNV Services may, to the extent permitted by Applicable Law:
(a) request information, documents, and explanations from the Indemnifying Party and other relevant persons;
(b) review account activity, communications, Content, and records associated with the Platform;
(c) engage external advisors, investigators, auditors, or legal counsel; and
(d) coordinate with law enforcement, regulatory, or governmental authorities where appropriate.
19.3. Interim Measures. Pending or following an investigation, PRNV Services may take reasonable interim or protective measures, including suspending or restricting access to an account, removing or disabling Content, or limiting use of certain features, in order to protect the Platform, the Indemnified Parties, and other users.
19.4. Corrective Actions. The Indemnifying Party shall, upon request, undertake reasonable corrective actions to address the conduct or circumstance giving rise to a Claim, including ceasing the offending activity, removing infringing or unlawful Content, and remedying any non-compliance.
19.5. Resolution. PRNV Services may seek to resolve indemnifiable matters through appropriate means, including negotiation, settlement, defence, or the pursuit of legal remedies, consistent with the reservation of rights in Section 20.
20. Reservation of Rights and Legal Remedies
20.1. Right to Assume Control. PRNV Services reserves the right, at its sole discretion and at the cost of the Indemnifying Party, to assume the exclusive defence and control of any Claim that is subject to indemnification under this Policy, or that affects or may affect the rights, interests, reputation, or operations of any Indemnified Party. In such event, the Indemnifying Party shall cooperate fully with PRNV Services and shall not take any step that may prejudice such defence.
20.2. Right to Participate. Where PRNV Services does not assume control of the defence, it reserves the right to participate in the defence of any such Claim with counsel of its own choosing,
at its own cost, without relieving the Indemnifying Party of its obligations.
20.3. Management of Proceedings. PRNV Services reserves the right to manage, direct, negotiate, settle, or compromise any Claim where it considers it appropriate to protect the interests of the Indemnified Parties, subject to Applicable Law.
20.4. Cumulative Remedies. The rights and remedies of PRNV Services under this Policy are cumulative and in addition to, and not in derogation of, any other rights or remedies available to PRNV Services under any Platform Agreement, at law, in equity, or otherwise. The exercise or non-exercise of any right or remedy shall not constitute a waiver of any other right or remedy.
20.5. No Waiver. No failure or delay by PRNV Services in exercising any right or remedy under this Policy shall operate as a waiver thereof, nor shall any single or partial exercise preclude any further exercise of that or any other right or remedy.
21. Limitation of Obligations
21.1. The indemnification obligations set out in this Policy shall apply only to the maximum extent permitted by Applicable Law.
21.2. To the extent that any provision of this Policy, or any indemnification obligation contained herein, is held to be unenforceable or invalid under Applicable Law, such provision or obligation shall be enforced to the maximum extent permissible, and the remaining provisions of this Policy shall continue in full force and effect.
21.3. Nothing in this Policy, including this Section 21, shall be construed to limit, reduce, waive, or exclude any right, remedy, protection, or defence otherwise available to PRNV Services or any other Indemnified Party under any Platform Agreement, at law, in equity, or otherwise. The limitation in this Section operates solely for the benefit of, and shall not diminish the protections available to, the Indemnified Parties.
22. Compliance with Applicable Laws
22.1. This Policy shall be interpreted and applied in a manner consistent with Applicable Law, including the Indian Contract Act, 1872, the Information Technology Act, 2000 and the rules and guidelines framed thereunder (including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021), the Consumer Protection Act, 2019 and the rules framed thereunder, the Digital Personal Data Protection Act, 2023, and applicable intellectual property legislation, in each case as amended from time to time.
22.2. All Users and Service Professionals are required to comply with Applicable Law in connection with their access to and use of the Platform, and PRNV Services is committed to operating the Platform in a lawful and compliant manner.
22.3. PRNV Services may cooperate with, and disclose information to, law enforcement, regulatory, or governmental authorities where required by Applicable Law or where it considers such cooperation appropriate to protect the rights, safety, property, or interests of PRNV Services, its users, or the public.
23.
Amendments and Updates
23.1. PRNV Services reserves the right to amend, modify, update, supplement, or replace this Policy at any time, at its sole discretion, in order to reflect changes in Applicable Law, business practices, technology, or the Platform Services.
23.2. Any changes to this Policy shall become effective upon publication of the updated Policy on the Platform, unless a later effective date is specified. The "Last Updated" date at the top of this Policy indicates when it was most recently revised.
23.3. Continued access to or use of the Platform after the publication of any amended Policy constitutes acceptance of the amended terms. Users and Service Professionals are encouraged to review this Policy periodically to remain informed of their rights and obligations.
24. Governing Law and Jurisdiction
24.1. Governing Law. This Policy and all matters arising out of or relating to it shall be governed by, and construed in accordance with, the laws of India, without regard to conflict-of-law principles.
24.2. Jurisdiction. Subject to Section 24.3, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute, controversy, or Claim arising out of or relating to this Policy, and the parties irrevocably submit to the jurisdiction of such courts.
24.3. Dispute Resolution. The parties shall endeavour to resolve any dispute arising out of or in connection with this Policy amicably through good-faith discussions. Any dispute that is not so resolved shall be subject to the applicable dispute resolution mechanism, if any, set out in the Terms of Use, and otherwise to the jurisdiction specified in Section 24.2.
24.4. Equitable Relief. Notwithstanding the foregoing, PRNV Services shall be entitled to seek injunctive or other equitable relief before any court of competent jurisdiction to protect its rights, intellectual property, confidential information, or the integrity and security of the Platform.

25.2. Notices to PRNV Services shall be deemed effective only upon actual receipt through the channels designated above.
26. Conclusion and Commitment
