1.  Introduction

PRNV Services operates a technology-enabled platform that facilitates connections and communications between Users and independent Service Professionals across a wide range of service categories. The Platform is accessible through the website at www.prnvservices.com, dedicated mobile applications, customer and professional portals, online services, communication channels, and associated digital content and technology infrastructure (collectively, the “Platform”).

This Force Majeure Policy (the “Policy”) sets out the manner in which PRNV Services addresses extraordinary events and circumstances that lie beyond its reasonable control and that may affect the continuity, availability, or performance of the Platform and its digital services. PRNV Services is committed to operating a resilient, reliable, and responsibly managed platform, and this Policy reflects that commitment by establishing a clear, transparent, and legally sound framework for the management of such events.

This Policy forms part of the broader suite of legal terms, policies, and notices published by PRNV Services and should be read together with the Terms and Conditions, Privacy Policy, Service Availability provisions, and all other applicable policies of the Platform. In the event of any specific provision addressing force majeure within another policy, this Policy shall be read harmoniously with such provision so as to provide the fullest protection permitted by Applicable Law.

PLATFORM CHARACTERISATION

PRNV Services functions exclusively as a technology-enabled intermediary and facilitation platform that enables Users and Service Professionals to discover, connect, and communicate with one another. PRNV Services does not itself perform, supervise, control, or guarantee the underlying services rendered by Service Professionals. All such services are provided directly by independent Service Professionals in their own professional capacity.

2.  Purpose of This Force Majeure Policy

The purpose of this Policy is to:

2.1  Define and identify the categories of events and circumstances that constitute Force Majeure Events for the purposes of the Platform and its digital services.

2.2  Clarify the effect of a Force Majeure Event on the performance of obligations by PRNV Services, including the permissible delay, suspension, modification, or temporary unavailability of services.

2.3  Establish the framework for the notification, mitigation, recovery, and resumption of services during and following a Force Majeure Event.

2.4  Set out the respective rights and responsibilities of Users, Service Professionals, and PRNV Services during periods affected by Force Majeure Events.

2.5  Affirm the protections available to PRNV Services under Applicable Law, including the principle that a party shall not be considered in breach of its obligations where performance is prevented, hindered, delayed, or rendered impracticable by events beyond its reasonable control.

2.6  Promote transparency, predictability, and business continuity by providing Users, Service Professionals, business partners, regulatory authorities, and other stakeholders with a clear understanding of how the Platform manages extraordinary disruptions.

3.  Scope and Applicability

3.1  This Policy applies to all digital platforms, properties, and services operated by PRNV Services, including without limitation:

•     the PRNV Services website at www.prnvservices.com;

•     the PRNV Services mobile applications across all supported operating systems and devices;

•     customer portals, professional portals, dashboards, and account interfaces;

•     all online services, listings, search, discovery, and connection features;

•     communication channels facilitated through the Platform, including messaging, notifications, and call-connection features;

•     all digital content, technology platforms, application programming interfaces (APIs), and supporting infrastructure.

3.2  This Policy applies to and binds all Users, Service Professionals, business partners, and any other person or entity that accesses, browses, registers on, uses, or otherwise interacts with the Platform.

3.3  This Policy governs the rights, responsibilities, and expectations of all such parties in relation to Force Majeure Events and the resulting Service Disruptions, to the extent such events affect the digital operation of the Platform.

3.4  By accessing or using the Platform, each User and Service Professional acknowledges that they have read, understood, and accepted this Policy, and agrees that the operation and availability of the Platform may be affected by events beyond the reasonable control of PRNV Services.

5.  Nature of Platform Services

5.1  Technology-enabled facilitation. PRNV Services is a technology-enabled platform whose principal function is to facilitate connections and communications between Users and independent Service Professionals. The Platform provides the digital infrastructure, tools, and channels through which Users may discover, contact, and communicate with Service Professionals.

5.2  No direct provision of underlying services. PRNV Services does not itself render, perform, supervise, or guarantee the underlying services offered by Service Professionals. The Platform is an enabling medium, and the relationship for the performance of any service is established directly between the relevant User and Service Professional.

5.3  Dependence on digital and third-party infrastructure. The operation of the Platform inherently depends upon a complex ecosystem of digital, electronic, telecommunications, network, hosting, and third-party infrastructure and services. The availability, performance, and continuity of the Platform are therefore subject to the proper functioning of such infrastructure, much of which is outside the direct and exclusive control of PRNV Services.

5.4  Inherent technological limitations. Users and Service Professionals acknowledge that no digital platform, software system, network, or technology infrastructure can be guaranteed to operate without interruption, delay, or error at all times, and that extraordinary events beyond reasonable control may affect the availability and performance of the Platform notwithstanding the implementation of reasonable safeguards and business continuity measures.

6.  Force Majeure Events

6.1  Definition. A “Force Majeure Event” means any event, circumstance, or combination of events that is beyond the reasonable control of PRNV Services and that prevents, hinders, delays, interrupts, or renders impracticable the performance of any obligation in relation to the Platform, where such event could not have been foreseen, prevented, or overcome by the exercise of reasonable diligence and commercially reasonable measures.

6.2  Non-exhaustive enumeration. Without limiting the generality of the foregoing, Force Majeure Events include the categories of events described in Sections 7 to 19 of this Policy. The enumeration of specific events is illustrative and not exhaustive, and shall not be construed to exclude any other event of a comparable nature that is beyond the reasonable control of PRNV Services.

6.3  Combined and cascading events. A Force Majeure Event includes any combination of events, and any consequential or cascading effects arising from such events, including secondary disruptions to dependent systems, services, and infrastructure.

7.  Events Beyond Reasonable Control

PRNV Services shall not be considered in default or breach of any obligation, nor liable for any delay, suspension, interruption, degradation, or inability to perform, where such circumstance arises from any event beyond its reasonable control. Such events include, without limitation, the categories described below in this Policy, as well as any other extraordinary, unforeseeable, or unavoidable event that could not have been prevented or mitigated through the exercise of reasonable care, foresight, and commercially reasonable measures.

8.  Natural Disasters

Force Majeure Events include natural disasters and acts of God of every kind, including but not limited to earthquakes, tremors, landslides, subsidence, volcanic activity, tsunamis, cyclones, hurricanes, typhoons, tornadoes, droughts, famines, and any other natural calamity or environmental catastrophe that affects the operation, availability, hosting, connectivity, or performance of the Platform, or that affects the personnel, premises, infrastructure, or third-party service providers upon which the Platform depends.

9.  Floods, Fires, Earthquakes, and Severe Weather Events

Force Majeure Events include, without limitation, floods, flash floods, inundation, heavy or prolonged rainfall, storms, lightning, hailstorms, snowfall, extreme heat or cold, fires (whether accidental, natural, or otherwise), explosions, earthquakes, and any severe or adverse weather event or environmental condition. Where any such event damages, disables, or impairs data centres, servers, hosting facilities, network infrastructure, power supply, telecommunications systems, offices, or any other facility or service relied upon for the operation of the Platform, PRNV Services shall not be liable for any resulting Service Disruption.

10.  Epidemics and Pandemics

Force Majeure Events include epidemics, pandemics, outbreaks of infectious or communicable disease, public-health emergencies, quarantines, isolation requirements, and any related governmental or institutional measures, including lockdowns, curfews, travel restrictions, workforce limitations, and operational constraints. PRNV Services shall not be liable for any Service Disruption, delay, suspension, or inability to perform arising from any such public-health event or from any measure adopted by any authority, organisation, or institution in response thereto.

11.  Government Orders and Regulatory Actions

11.1  Force Majeure Events include any act, order, direction, notification, regulation, restriction, embargo, sanction, licensing condition, suspension, or other measure imposed by any government, governmental authority, regulatory body, court, tribunal, or statutory authority, whether central, state, local, or international, that affects the operation, availability, or performance of the Platform.

11.2  This includes any change in Applicable Law, regulatory directive, internet or telecommunications restriction, content-blocking order, data-localisation requirement, suspension of services, or any compliance obligation that requires PRNV Services to delay, suspend, modify, restrict, or discontinue any aspect of the Platform.

11.3  PRNV Services shall be entitled to take all steps it considers necessary or appropriate to comply with any such order, direction, or requirement, and any resulting Service Disruption shall not constitute a breach of any obligation by PRNV Services.

12.  War, Civil Unrest, Riots, and Public Disturbances

Force Majeure Events include war (whether declared or undeclared), armed conflict, hostilities, invasion, blockade, insurrection, rebellion, revolution, military or usurped power, civil war, civil commotion, civil unrest, riots, public disturbances, protests, demonstrations, bandhs, hartals, mob violence, and any breakdown of public order. Where any such event affects the operation, availability, connectivity, or performance of the Platform, or the personnel, premises, infrastructure, or third-party providers upon which it depends, PRNV Services shall not be liable for any resulting Service Disruption.

13.  Terrorist Acts and Security Threats

Force Majeure Events include acts of terrorism, threats of terrorism, sabotage, bombings, hijacking, hostage situations, armed attacks, and any other malicious act or credible security threat directed at persons, property, infrastructure, or digital systems. This category also includes precautionary or protective measures adopted in response to such acts or threats, including evacuations, shutdowns, heightened security protocols, and restrictions on access to facilities or systems, where any such act, threat, or measure affects the operation or availability of the Platform.

14.  Strikes, Labor Disputes, and Industrial Actions

Force Majeure Events include strikes, lockouts, work stoppages, go-slows, labour disputes, industrial actions, trade-union actions, and any other collective workforce action, whether involving the personnel of PRNV Services or the personnel of any third party, contractor, vendor, hosting provider, telecommunications operator, utility provider, or other entity upon which the operation of the Platform depends. PRNV Services shall not be obliged to settle any strike, lockout, or labour dispute on terms not acceptable to it, and shall not be liable for any Service Disruption arising therefrom.

15.  Power Failures and Utility Interruptions

Force Majeure Events include failures, interruptions, fluctuations, shortages, or disruptions of electricity, power supply, generators, uninterruptible power systems, cooling systems, water supply, fuel supply, or any other utility or essential service required for the operation of data centres, servers, hosting facilities, offices, or any other infrastructure relied upon for the Platform. This includes grid failures, load-shedding, power outages, and any failure of backup or redundant power arrangements where such failure is beyond the reasonable control of PRNV Services.

16.  Internet, Telecommunications, and Network Failures

16.1  Force Majeure Events include any failure, interruption, degradation, congestion, outage, or unavailability of the internet, internet backbone, telecommunications networks, mobile networks, broadband or fibre connectivity, data transmission systems, domain name systems (DNS), content delivery networks (CDNs), routing systems, or any other network or connectivity service required for the operation of the Platform.

16.2  This includes failures or disruptions affecting internet service providers, telecommunications operators, network carriers, peering arrangements, and submarine or terrestrial cable systems, as well as any throttling, blocking, or restriction of bandwidth or connectivity imposed by any party or authority.

16.3  PRNV Services shall not be liable for any delay, failure, or error in the transmission, delivery, or receipt of data, communications, notifications, or messages through the Platform where such delay, failure, or error arises from any such network or telecommunications event.

17.  Cybersecurity Incidents and System Disruptions

17.1  Force Majeure Events include cyber-attacks, hacking, unauthorised access, distributed denial-of-service (DDoS) attacks, malware, ransomware, viruses, worms, trojans, phishing, credential-stuffing, data-security incidents, system intrusions, and any other malicious or unauthorised act directed at the Platform or at any system, network, or infrastructure upon which it depends.

17.2  Force Majeure Events also include system failures, software defects, hardware failures, database corruption, configuration errors arising from third-party components, failures of security or authentication systems, and any other technical malfunction or disruption that is beyond the reasonable control of PRNV Services.

17.3  Notwithstanding the implementation of reasonable security practices and procedures in accordance with prevailing standards, no digital system can be guaranteed to be absolutely secure or immune from disruption. PRNV Services shall not be liable for any Service Disruption, data-transmission issue, or inability to perform arising from any cybersecurity incident or system disruption beyond its reasonable control, to the maximum extent permitted by Applicable Law.

18.  Transportation and Infrastructure Failures

Force Majeure Events include failures, disruptions, restrictions, or unavailability of transportation, logistics, roads, railways, ports, airports, and physical infrastructure, as well as the failure, collapse, or unavailability of any building, facility, data centre, or physical premises relied upon for the operation of the Platform. Where any such transportation or infrastructure failure affects the ability of PRNV Services or its third-party providers to operate, maintain, repair, or restore the Platform, PRNV Services shall not be liable for any resulting Service Disruption.

19.  Supply Chain and Third-Party Service Disruptions

19.1  Reliance on third parties. The operation of the Platform depends upon a range of third-party service providers, including cloud and hosting providers, data-centre operators, telecommunications and network providers, software and technology vendors, communication and notification service providers, security service providers, and other suppliers and contractors.

19.2  Third-party disruptions. Force Majeure Events include any failure, interruption, suspension, termination, degradation, insolvency, or unavailability of any such third-party service provider, supplier, vendor, or contractor, as well as any disruption to supply chains or dependencies upon which the Platform relies, where such disruption is beyond the reasonable control of PRNV Services.

19.3  No liability for third-party events. PRNV Services shall not be liable for any Service Disruption arising from the acts, omissions, defaults, failures, or disruptions of any third-party service provider, to the maximum extent permitted by Applicable Law, and shall use reasonable efforts to engage alternative arrangements where practicable.

20.  Delay, Suspension, or Inability to Perform Services

20.1  Suspension of obligations. Upon the occurrence of a Force Majeure Event, the obligations of PRNV Services that are affected by such event shall be suspended, delayed, modified, or rendered temporarily unavailable for the duration of the Force Majeure Event and for such reasonable period thereafter as is necessary to restore normal operations.

20.2  No breach. PRNV Services shall not be considered to be in breach or default of any obligation, nor liable for any failure, delay, interruption, suspension, or inability to perform, where such circumstance arises directly or indirectly from a Force Majeure Event.

20.3  Permissible measures. During a Force Majeure Event, PRNV Services may, at its discretion and acting reasonably, delay, suspend, limit, modify, reduce, reschedule, or temporarily withdraw any feature, function, or service of the Platform, in whole or in part, as it considers necessary or appropriate to manage the event and to protect the integrity, security, and continuity of the Platform.

20.4  Continuity of unaffected services. PRNV Services shall, wherever practicable, continue to operate those features and services of the Platform that are not affected by the Force Majeure Event.

KEY PROTECTION

PRNV Services shall not be considered in breach of its obligations, and shall not incur any liability, where delays, interruptions, failures, temporary unavailability, data-transmission issues, communication failures, or inability to perform arise from events beyond its reasonable control. Performance obligations may be delayed, suspended, modified, or rendered temporarily unavailable during Force Majeure Events, and PRNV Services shall make reasonable efforts to mitigate disruptions and restore services whenever practicable.

21.  Notification Procedures

21.1  Communication of Force Majeure Events. Where reasonably practicable and appropriate, PRNV Services may notify Users and Service Professionals of a Force Majeure Event and any resulting Service Disruption through one or more of the following channels:

•     notices, banners, or status updates published on the website at www.prnvservices.com;

•     in-application messages, alerts, or notifications;

•     electronic mail sent to registered email addresses;

•     messages sent through the communication channels available on the Platform;

•     status pages, help-centre updates, or official communications of PRNV Services.

21.2  Nature of notification. Any such notification is provided as a matter of good practice and transparency. The provision, timing, or absence of any notification shall not affect the operation of this Policy or the protections available to PRNV Services, and the absence of prior notification shall not, by itself, give rise to any liability, particularly where the nature, suddenness, or severity of the Force Majeure Event renders prior notification impracticable.

21.3  Information available. Notifications will provide such information regarding the nature of the Force Majeure Event, the affected services, and the anticipated impact as is reasonably available to PRNV Services at the relevant time. Estimates of duration or restoration timelines, where provided, are indicative only and not binding.

22.  Mitigation and Recovery Efforts

22.1  Reasonable efforts to mitigate. PRNV Services shall use commercially reasonable efforts to mitigate the effects of a Force Majeure Event and to minimise the impact of any resulting Service Disruption on Users and Service Professionals, to the extent practicable in the circumstances.

22.2  Business continuity measures. PRNV Services maintains business continuity planning and adopts reasonable measures designed to enhance the resilience of the Platform. Such measures may include, where practicable, redundancy arrangements, data-backup procedures, failover systems, alternative service providers, and incident-response protocols.

22.3  System maintenance and recovery. During and following a Force Majeure Event, PRNV Services may undertake system maintenance, restoration, repair, reconfiguration, and recovery procedures. Such procedures may require the temporary suspension or limitation of certain features or services of the Platform, and any resulting Service Disruption shall be subject to the protections set out in this Policy.

22.4  Third-party dependencies. Where the mitigation or recovery of services depends upon the actions, restoration efforts, or availability of third-party service providers, the ability of PRNV Services to mitigate and recover shall be subject to the performance of such third parties, and PRNV Services shall not be liable for delays attributable to such dependencies.

22.5  No guarantee of outcome. While PRNV Services will make reasonable efforts to mitigate and recover, it does not warrant or guarantee that any particular mitigation or recovery measure will be successful, or that services will be restored within any specific timeframe.

23.  Resumption of Services

23.1  Restoration when practicable. PRNV Services shall use reasonable efforts to resume and restore the affected features and services of the Platform as soon as reasonably practicable after the cessation or sufficient abatement of the Force Majeure Event, and after the completion of any necessary maintenance, recovery, or restoration procedures.

23.2  Phased and prioritised restoration. PRNV Services may restore services in a phased, prioritised, or staged manner, and may prioritise the restoration of critical functions, security, and data integrity over the full restoration of all features and services.

23.3  Verification and stability. Before fully resuming services, PRNV Services may undertake testing, verification, and stabilisation measures to ensure the security, integrity, and reliability of the Platform. Such measures may require additional time and may temporarily limit the availability of certain features.

23.4  Communication of resumption. Where practicable, PRNV Services may communicate the resumption or restoration of services through the channels described in Section 21.

24.  Rights and Responsibilities of Users

24.1  Acknowledgement. Users acknowledge that the Platform may be affected by Force Majeure Events and that PRNV Services shall not be liable for any Service Disruption arising therefrom, to the maximum extent permitted by Applicable Law.

24.2  Cooperation. Users shall cooperate reasonably with PRNV Services during a Force Majeure Event, including by following any instructions, guidance, or safety measures communicated through the Platform, and by refraining from any action that may aggravate the disruption or impede recovery efforts.

24.3  Patience and reasonable expectations. Users acknowledge that, during and following a Force Majeure Event, certain features, functions, or services of the Platform may be delayed, suspended, modified, or temporarily unavailable, and that restoration timelines may vary.

24.4  Accurate information. Users shall maintain accurate and current contact and account information so that notifications regarding Service Disruptions can be communicated effectively, and shall regularly check official communication channels for updates.

24.5  Preservation of rights. Nothing in this Policy shall affect any right or remedy available to a User under Applicable Law that cannot lawfully be excluded or limited.

25.  Rights and Responsibilities of Service Professionals

25.1  Acknowledgement. Service Professionals acknowledge that the Platform may be affected by Force Majeure Events and that PRNV Services shall not be liable for any Service Disruption, including any consequent effect on visibility, listings, connections, or communications facilitated through the Platform, to the maximum extent permitted by Applicable Law.

25.2  Cooperation. Service Professionals shall cooperate reasonably with PRNV Services during a Force Majeure Event, including by complying with any instructions, guidance, or operational measures communicated through the Platform, and by refraining from any action that may aggravate the disruption or impede recovery efforts.

25.3  Continuity of professional conduct. Service Professionals remain responsible for their own conduct, communications, and dealings with Users, and for managing their own affairs during any period affected by a Force Majeure Event, independently of the Platform.

25.4  Accurate information. Service Professionals shall maintain accurate and current contact and account information to facilitate effective communication during Service Disruptions, and shall monitor official communication channels for updates.

25.5  Preservation of rights. Nothing in this Policy shall affect any right or remedy available to a Service Professional under Applicable Law that cannot lawfully be excluded or limited.

26.  Rights and Responsibilities of PRNV Services

26.1  Right to manage disruptions. PRNV Services reserves the right to take all steps it considers necessary or appropriate to manage a Force Majeure Event, including the right to delay, suspend, limit, modify, reschedule, or temporarily withdraw any feature, function, or service of the Platform, in whole or in part.

26.2  Right to prioritise integrity and security. PRNV Services reserves the right to prioritise the security, integrity, and stability of the Platform, the protection of data, and compliance with Applicable Law over the continued availability of any particular feature or service during a Force Majeure Event.

26.3  Responsibility to act reasonably. PRNV Services shall act reasonably and in good faith in managing a Force Majeure Event, and shall use commercially reasonable efforts to mitigate disruptions, communicate with affected parties where practicable, and restore services as soon as reasonably practicable.

26.4  No assumption of additional obligations. Nothing in this Policy shall be construed to impose upon PRNV Services any obligation greater than the exercise of commercially reasonable efforts, and PRNV Services does not guarantee uninterrupted, error-free, or continuously available services.

27.  Limitation of Liability During Force Majeure Events

27.1  Exclusion of liability. To the maximum extent permitted by Applicable Law, PRNV Services shall not be liable to any User, Service Professional, business partner, or any other person for any delay, interruption, suspension, temporary unavailability, degradation, data-transmission issue, communication failure, loss of access, or inability to perform any obligation, where such circumstance arises directly or indirectly from a Force Majeure Event.

27.2  Exclusion of indirect losses. To the maximum extent permitted by Applicable Law, PRNV Services shall not be liable for any indirect, incidental, consequential, special, or punitive loss or damage, including loss of opportunity, loss of goodwill, loss of data, or loss of anticipated benefit, arising from or in connection with any Force Majeure Event or resulting Service Disruption.

27.3  No breach or default. A Force Majeure Event shall not constitute a breach or default by PRNV Services of any obligation, and the suspension or non-performance of any affected obligation during such event shall not give rise to any claim against PRNV Services.

27.4  Maximum extent permitted by law. All limitations and exclusions of liability in this Policy shall apply to the maximum extent permitted by Applicable Law. Nothing in this Policy excludes or limits any liability that cannot lawfully be excluded or limited, and where any limitation is held to be unenforceable, the remaining limitations shall continue to apply to the fullest extent permitted by law.

27.5  Allocation of risk. Users and Service Professionals acknowledge that the limitations and exclusions in this Policy represent a reasonable allocation of risk between the parties, having regard to the nature of the Platform as a technology-enabled facilitation service that is dependent upon digital and third-party infrastructure.

28.  Compliance with Applicable Laws

28.1  Compliance commitment. PRNV Services is committed to operating the Platform in compliance with all Applicable Laws of the Republic of India, including the Information Technology Act, 2000 and the rules made thereunder, the Indian Contract Act, 1872, the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, the Digital Personal Data Protection Act, 2023, and all other statutes, rules, and regulations applicable to the operation of the Platform.

28.2  Compliance during disruptions. During a Force Majeure Event, PRNV Services shall continue to act in accordance with Applicable Law and shall take such steps as may be required to comply with any lawful order, direction, or requirement of any competent authority, even where such compliance results in a Service Disruption.

28.3  Consistency with other policies. This Policy shall be read and construed consistently with the other policies, terms, and notices published on the Platform. In the event of any conflict in relation to Force Majeure matters, this Policy shall prevail to the extent it provides protection permitted by Applicable Law.

29.  Severability

If any provision of this Policy is held to be invalid, illegal, unenforceable, or void by any court, tribunal, or competent authority, in whole or in part, under any Applicable Law, such provision or part thereof shall, to that extent, be deemed severed from this Policy. The validity, legality, and enforceability of the remaining provisions shall not be affected or impaired, and shall continue in full force and effect. Any severed provision shall be deemed modified to the minimum extent necessary to render it valid, legal, and enforceable while preserving its original intent and the protection afforded to PRNV Services to the maximum extent permitted by Applicable Law.

30.  Amendments and Updates

30.1  Right to amend. PRNV Services reserves the right to review, revise, update, modify, supplement, or replace this Policy at any time, at its sole discretion, in order to reflect changes in Applicable Law, operational practices, technology, industry standards, or business requirements.
