1. Introduction
These Digital Payment Terms ('Digital Payment Terms', 'these Terms') are published by PRNV Services, India's next-generation digital advertising and direct-service marketplace, operating through the website www.prnvservices.com, its associated mobile applications, customer portals, and related digital platforms (collectively, the 'Platform').
PRNV Services is a technology-enabled platform that connects independent technicians, skilled professionals, business entities, and customers, and that may, where applicable, facilitate digital payment-related interactions through authorised third-party payment service providers and payment gateways. These Digital Payment Terms set out the principles, responsibilities, safeguards, and obligations that apply whenever a digital payment activity is initiated, processed, attempted, or recorded on or through the Platform.
By accessing the Platform, creating an account, initiating a payment, authorising a transaction, or otherwise engaging in any digital payment-related activity through the Platform, the user acknowledges that they have read, understood, and agreed to be bound by these Digital Payment Terms, in addition to the General Terms and Conditions, Privacy Policy, and other policies of PRNV Services, all of which are incorporated herein by reference.
Please Read Carefully These Digital Payment Terms apply in addition to, and not in substitution of, the General Terms and Conditions and Privacy Policy of PRNV Services. In the event of any specific conflict relating to digital payment processing, these Digital Payment Terms shall prevail to the extent of such conflict. |
2. Purpose of these Digital Payment Terms
The purpose of these Digital Payment Terms is to:
• Establish a clear, transparent, and legally compliant framework governing digital payment-related activities conducted through the Platform;
• Define the respective roles and responsibilities of PRNV Services, users, service professionals, referral partners, and third-party payment service providers in connection with digital payment processing;
• Set out the principles of transparency, security, fairness, and information accuracy that govern digital payment interactions on the Platform;
• Inform users of the eligibility requirements, supported payment methods, and procedures applicable to payment initiation and authorisation;
• Describe the safeguards, monitoring mechanisms, and fraud-prevention measures maintained by PRNV Services in relation to digital payment activities;
• Set out the procedure for reporting concerns, raising disputes, and seeking resolution of payment-related issues; and
• Ensure compliance with applicable Indian laws and regulations governing electronic transactions, digital payments, and payment systems.
3. Scope and Applicability
These Digital Payment Terms apply to all digital payment-related activities conducted through, in connection with, or arising from use of the Platform, including but not limited to activities conducted through the following:
• The PRNV Services website (www.prnvservices.com) and all associated sub-domains and web pages;
• PRNV Services mobile applications, on any operating system or device;
• Customer portals, dashboards, and self-service interfaces made available by PRNV Services;
• User accounts and profiles, including customer accounts;
• Service Professional accounts, including technician and business-entity listings;
• Referral Partner accounts and associated wallet or commission-related interfaces;
• Payment interfaces, payment gateways, and any third-party payment integrations accessible through the Platform;
• Billing systems, invoicing modules, and transaction-recording systems maintained by or on behalf of PRNV Services;
• Communication channels used by PRNV Services to send or receive payment-related communications, including SMS, email, WhatsApp, push notifications, and in-app messaging; and
• Information systems and technology platforms used by PRNV Services to support, record, monitor, or process digital payment-related data.
These Digital Payment Terms apply to all categories of users who interact with the Platform, including customers, registered users, visitors, Service Professionals (technicians and business entities), Referral Partners, business partners, and any other person who initiates, authorises, receives, or is otherwise involved in a digital payment-related activity through the Platform.
These Digital Payment Terms apply irrespective of the device, browser, application, network, or geographic location used to access the Platform, subject always to applicable law.
4. Definitions
For the purposes of these Digital Payment Terms, unless the context otherwise requires, the following terms shall have the meanings set out below. Capitalised terms not defined herein shall have the meaning ascribed to them in the General Terms and Conditions of PRNV Services.
Platform | The website www.prnvservices.com, PRNV Services mobile applications, customer portals, and all associated digital interfaces, systems, and technologies operated by or on behalf of PRNV Services. |
PRNV Services / 'We' / 'Us' / 'Our' | PRNV Services, the technology-enabled platform operator, including its officers, employees, authorised representatives, and successors. |
User / 'You' / 'Your' | Any person who accesses or uses the Platform, including Customers, Service Professionals, Referral Partners, and visitors, in connection with any digital payment-related activity. |
Customer | A user who engages, books, or seeks to engage the services of a Service Professional through the Platform and who may initiate digital payments in connection therewith. |
Service Professional | An independent technician, skilled professional, or business entity that maintains a listing, profile, or account on the Platform and who may receive, initiate, or be otherwise connected with digital payment activity through the Platform. |
Referral Partner | A person or business entity enrolled under any referral-related programme of PRNV Services, whose account may reflect commission, wallet, or payment-related entries. |
Digital Payment | Any transfer, transaction, or attempted transaction of monetary value conducted by electronic means through the Platform, including payments made using UPI, debit or credit cards, net banking, digital wallets, or any other electronic payment instrument. |
Payment Service Provider / Payment Gateway | A third-party bank, financial institution, payment aggregator, payment gateway, or payment system operator, duly authorised under applicable law, that is engaged to process, route, or settle Digital Payments on or in connection with the Platform. |
Payment Interface | Any screen, page, application programming interface, widget, or interface through which a user initiates, authorises, views, or manages a Digital Payment on the Platform. |
Transaction | Any individual instance of a Digital Payment, including successful, failed, delayed, interrupted, incomplete, disputed, or reversed payment attempts. |
Unauthorised Transaction | A Transaction initiated or processed without the knowledge, consent, or authorisation of the account holder or rightful user. |
Payment Credentials | Any information used to authenticate, authorise, or complete a Digital Payment, including but not limited to passwords, PINs, OTPs, UPI IDs, card details, and biometric data. |
Applicable Law | All applicable statutes, rules, regulations, directions, circulars, and guidelines of the Republic of India governing electronic transactions, digital payments, payment systems, data protection, and consumer protection, as amended from time to time. |
5. Nature of Platform Services
PRNV Services is a technology-enabled platform that connects independent Service Professionals with Customers seeking services across various categories. In relation to digital payments, PRNV Services may facilitate digital payment processing through authorised third-party payment service providers and payment gateways, where applicable, in order to enable convenient and secure payment interactions for users of the Platform.
What PRNV Services Is Not PRNV Services does not operate as a bank, payment system operator, financial institution, lending platform, investment platform, money transfer service, or non-banking financial company. PRNV Services does not accept deposits, extend credit, or hold client monies in a fiduciary or custodial capacity, except to the limited extent expressly disclosed elsewhere in PRNV Services' policies. |
Where digital payment facilitation is enabled on the Platform, PRNV Services acts solely as a technology intermediary that integrates with, and routes payment instructions to, authorised third-party Payment Service Providers. PRNV Services does not itself operate banking networks, card networks, UPI infrastructure, or other payment-system infrastructure, and all such infrastructure remains under the ownership, control, and operation of the relevant banks, financial institutions, card networks, and Payment Service Providers.
The availability, functionality, and processing of digital payments through the Platform are dependent upon the systems, services, and operational uptime of third-party Payment Service Providers, banks, card networks, the Unified Payments Interface (UPI) and the National Payments Corporation of India (NPCI), telecommunication service providers, and other external infrastructure over which PRNV Services does not have direct control.
Nothing in these Digital Payment Terms shall be construed as creating a banking relationship, deposit relationship, fiduciary relationship, or agency relationship between PRNV Services and any user, except to the limited extent that PRNV Services expressly undertakes a defined role in writing.
6. Principles of Digital Payment Processing
PRNV Services is committed to conducting digital payment facilitation in accordance with the following core principles:
6.1 Transparency and Fairness
PRNV Services seeks to ensure that digital payment-related information presented to users — including the nature of a Transaction, the identity of the payee or payer (where applicable and technically feasible), and the status of a Transaction — is presented in a clear, accurate, and non-misleading manner, to the extent such information is available to PRNV Services from the relevant Payment Service Provider.
6.2 Security and Confidentiality
PRNV Services adopts reasonable security practices and procedures, consistent with applicable law, to protect payment-related information transmitted through or stored on the Platform, and requires its engaged third-party Payment Service Providers to maintain appropriate technical and organisational security measures.
6.3 Responsible Payment Practices
Users are expected to engage in responsible digital payment practices, including verifying transaction details before authorisation, using only their own validly issued payment instruments, and refraining from any activity that could compromise the security or integrity of the Platform's payment ecosystem.
6.4 Information Accuracy
Users are responsible for ensuring that all information submitted in connection with a digital payment — including billing details, contact information, and payment instrument details — is true, accurate, current, and complete.
6.5 Regulatory Compliance
PRNV Services is committed to conducting all digital payment facilitation activities in compliance with applicable Indian laws and regulations governing electronic transactions and payment processing, including the Information Technology Act, 2000, the Payment and Settlement Systems Act, 2007, applicable directions of the Reserve Bank of India, and the Digital Personal Data Protection Act, 2023.
7. Eligibility to Use Digital Payment Services
To initiate or authorise a digital payment through the Platform, a user must:
• Be at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872;
• Hold a validly registered account on the Platform, where account registration is required for the relevant payment activity;
• Possess a valid and lawfully held payment instrument (such as a bank account, debit or credit card, UPI-linked account, or digital wallet) in their own name or in the name of an entity they are duly authorised to represent;
• Comply with the Know-Your-Customer (KYC) and identity-verification requirements applicable to the relevant payment method, where such requirements are prescribed by the Payment Service Provider or by Applicable Law; and
• Not be a person or entity prohibited from holding or using digital payment instruments under Applicable Law, including persons subject to regulatory sanctions, watchlists, or restrictions.
PRNV Services reserves the right to decline, suspend, or restrict access to digital payment functionality where eligibility criteria are not met, where required by a Payment Service Provider, or where necessary to comply with Applicable Law.
8. Supported Digital Payment Methods
Subject to availability, eligibility, and the operational scope of PRNV Services' authorised Payment Service Providers, the Platform may support digital payment methods including, without limitation:
• Unified Payments Interface (UPI)-based payments;
• Debit cards and credit cards issued by banks or financial institutions authorised to operate in India;
• Net banking facilities offered by participating banks;
• Digital wallets and prepaid payment instruments, where supported by the integrated Payment Service Provider; and
• Any other digital payment method that may be enabled by PRNV Services from time to time through its authorised Payment Service Providers.
The availability of any particular digital payment method is subject to change without prior notice and may vary based on the user's category, location, device, and the operational capability of the relevant Payment Service Provider. PRNV Services does not guarantee the continuous availability of any specific digital payment method.
No Endorsement of Payment Instruments Reference to any digital payment method in these Digital Payment Terms does not constitute an endorsement, guarantee, or warranty by PRNV Services of the issuing bank, card network, or Payment Service Provider. Users remain bound by the separate terms and conditions of their chosen payment instrument issuer. |
9. Payment Initiation and Authorization Procedures
Digital payments through the Platform are generally initiated and authorised in accordance with the following procedure, subject to variation depending on the specific Payment Service Provider and payment method involved:
1. The user selects the relevant transaction, service, subscription, or activity in respect of which a digital payment is to be made;
2. The Platform presents a Payment Interface displaying the applicable transaction details, including the amount payable and the available payment methods;
3. The user selects a payment method and is directed, where applicable, to the secure interface of the relevant Payment Service Provider;
4. The user enters or confirms the requisite Payment Credentials and any authentication factors required by the Payment Service Provider, such as One-Time Passwords (OTPs), PINs, or biometric verification;
5. The Payment Service Provider processes the authorisation request and communicates the outcome (success, failure, or pending status) to the Platform; and
6. The Platform records the Transaction outcome and displays a confirmation, receipt, or status update to the user, where technically available.
Authorisation of a Transaction by a user, whether through entry of Payment Credentials, OTP confirmation, biometric authentication, or any other authentication mechanism, constitutes the user's express and informed consent to that Transaction. Users are solely responsible for reviewing transaction details before providing such authorisation.
PRNV Services does not store full card numbers, card verification values (CVV), or banking passwords on its own systems, except to the extent such storage is conducted by an authorised Payment Service Provider in compliance with applicable Reserve Bank of India tokenisation and data-storage directions.
10. User Responsibilities During Payment Transactions
Every user engaging in a digital payment activity through the Platform shall:
• Use only payment instruments that they are lawfully entitled to use;
• Verify the accuracy of all transaction details, including the amount, payee, and purpose, prior to authorising a Transaction;
• Maintain the confidentiality of their Payment Credentials, account login details, OTPs, and any other authentication information at all times;
• Refrain from sharing Payment Credentials, OTPs, or account access details with any third party, including persons claiming to represent PRNV Services;
• Ensure that the device, browser, or application used to access the Platform's payment functionality is secure, updated, and free from malware;
• Promptly update any change in contact details (such as mobile number or email address) linked to their account, to ensure continued receipt of transaction alerts and OTPs;
• Promptly report any suspicious, unauthorised, or erroneous Transaction in accordance with Section 15 and Section 21 of these Digital Payment Terms; and
• Comply with all Applicable Law in connection with their use of digital payment functionality on the Platform.
Users Remain Responsible for Accuracy Users remain solely responsible for ensuring the accuracy of all information submitted during a payment transaction. PRNV Services and its Payment Service Providers shall not be liable for any loss, delay, or failed Transaction arising from inaccurate, incomplete, or outdated information supplied by the user. |
11. Information Accuracy and Verification Requirements
Users are required to ensure that all information provided in connection with a digital payment — including, without limitation, name, billing address, contact details, account information, and payment instrument details — is true, accurate, current, and complete at the time of submission and remains so for so long as such information is in use on the Platform.
PRNV Services and its authorised Payment Service Providers may undertake reasonable verification procedures in respect of payment-related information, which may include validation of payment instrument details, address verification, OTP-based authentication, and KYC checks, where applicable. Such verification procedures are conducted to support fraud prevention, regulatory compliance, and transaction integrity, and do not constitute a guarantee of the accuracy of information supplied by the user.
Where a user provides false, inaccurate, or misleading information in connection with a digital payment, PRNV Services reserves the right to decline, suspend, reverse, or report the relevant Transaction, and may suspend or restrict the user's access to digital payment functionality, without prejudice to any other right or remedy available to PRNV Services under Applicable Law.
12. Security Measures and Safe Payment Practices
12.1 Security Measures Maintained by PRNV Services
PRNV Services adopts reasonable security practices and procedures consistent with applicable law, including but not limited to:
• Use of encryption protocols (such as Transport Layer Security) for data transmitted between the user's device and the Platform;
• Integration only with Payment Service Providers that are duly authorised under Applicable Law and that maintain their own security and compliance standards, including, where applicable, Payment Card Industry Data Security Standard (PCI-DSS) compliance;
• Use of tokenisation, multi-factor authentication, and OTP-based verification, where supported by the relevant Payment Service Provider;
• Monitoring of transaction patterns for indicators of fraud or anomalous activity, as further described in Section 19; and
• Periodic review and enhancement of security measures applicable to the Platform's payment-related functionality.
12.2 Safe Payment Practices for Users
Users are strongly advised to observe the following safe payment practices:
• Never share OTPs, PINs, passwords, or card details with any person, including individuals claiming to be PRNV Services representatives, bank officials, or technical support personnel;
• Access the Platform only through official website addresses or official mobile application stores, and avoid third-party links of unknown origin;
• Verify the transaction amount and payee details displayed on the Payment Interface before authorising any Transaction;
• Avoid conducting digital payments over unsecured or public Wi-Fi networks where practicable;
• Keep devices, operating systems, browsers, and applications updated with the latest security patches; and
• Promptly log out of accounts on shared or public devices.
PRNV Services Will Never Ask for Sensitive Credentials PRNV Services and its authorised representatives will never ask users to share OTPs, PINs, passwords, or full card details over phone calls, SMS, email, or chat. Any such request should be treated as suspicious and reported immediately in accordance with Section 21. |
13. Third-Party Payment Service Providers and Integrations
Digital payment processing on the Platform, where enabled, is undertaken with the assistance of authorised third-party Payment Service Providers, including payment aggregators, payment gateways, banks, and card networks. Such third parties operate under their own terms of service, privacy policies, and risk-management frameworks, in addition to applicable regulatory authorisation from the Reserve Bank of India or other competent authority.
By initiating a digital payment through the Platform, the user acknowledges and agrees that:
• The relevant Transaction may be subject to the separate terms, conditions, and policies of the engaged Payment Service Provider, in addition to these Digital Payment Terms;
• PRNV Services does not control, and is not responsible for, the internal systems, security infrastructure, processing times, or service levels of any third-party Payment Service Provider, bank, card network, or telecommunication provider;
• Any data shared with a Payment Service Provider in the course of a Transaction is processed by such provider in accordance with its own privacy and data-protection practices, in addition to applicable law; and
• PRNV Services' role is limited to integration with, and routing of payment instructions to, such Payment Service Providers, and PRNV Services does not independently control banking networks, payment systems, or external payment-processing infrastructure.
PRNV Services undertakes reasonable diligence in selecting Payment Service Providers that are duly authorised to operate in India, but does not guarantee the uninterrupted availability or error-free performance of any such third party.
14. Failed, Delayed, Interrupted, or Incomplete Transactions
Digital payment processing depends upon the continuous and error-free functioning of external systems, including banking networks, card networks, UPI infrastructure, telecommunication networks, and the internal systems of Payment Service Providers. PRNV Services does not guarantee uninterrupted availability, processing times, or the successful completion of every digital payment Transaction.
Where a Transaction fails, is delayed, is interrupted, or remains incomplete due to causes including but not limited to network failure, server downtime, insufficient balance, expired or blocked payment instruments, incorrect Payment Credentials, bank or Payment Service Provider-side errors, or force majeure events, PRNV Services shall:
• Endeavour to display an accurate status of the Transaction on the Platform to the extent such information is available from the relevant Payment Service Provider;
• Cooperate, where necessary, with the Payment Service Provider to ascertain the status of the Transaction; and
• Facilitate, where applicable and where the amount has been debited without corresponding service or value being rendered, the reversal or refund process in accordance with the applicable refund and reconciliation timelines of the relevant Payment Service Provider and bank.
Where an amount is debited from a user's account or payment instrument but a corresponding Transaction is not successfully completed on the Platform, the user should retain the relevant Transaction reference number and promptly notify PRNV Services in accordance with Section 21, so that the matter may be investigated and, where appropriate, escalated to the relevant Payment Service Provider or bank for reversal in accordance with applicable timelines under Reserve Bank of India directions.
Dependency on External Systems PRNV Services shall not be liable for any failure, delay, interruption, or incompleteness of a Transaction that is attributable to the systems, infrastructure, or processes of any third-party Payment Service Provider, bank, card network, UPI/NPCI infrastructure, or telecommunication service provider, such matters being beyond PRNV Services' direct and reasonable control. |
15. Unauthorized or Suspicious Transactions
Users remain responsible for safeguarding their Payment Credentials, devices, and account information at all times. Where a user identifies, suspects, or becomes aware of an Unauthorised Transaction, or any other suspicious activity in connection with their account or Payment Credentials, the user shall:
7. Immediately notify PRNV Services through the channels described in Section 21, and concurrently notify their bank, card issuer, or Payment Service Provider, as may be appropriate;
8. Where applicable, request that the relevant bank or card issuer block or restrict the affected payment instrument; and
9. Provide such information and documentation as may be reasonably required to support investigation of the Unauthorised Transaction.
Upon notification of a suspected Unauthorised Transaction, PRNV Services shall, within the scope of its role as a technology intermediary, take reasonable steps which may include flagging the relevant account or Transaction for review, cooperating with the relevant Payment Service Provider's investigation process, and temporarily restricting further Transactions on the affected account pending investigation, where reasonably warranted.
Liability for Unauthorised Transactions conducted through banking channels, card networks, or UPI is primarily governed by the applicable Reserve Bank of India directions on customer protection in unauthorised electronic banking transactions, and by the policies of the relevant bank or Payment Service Provider. PRNV Services shall, where reasonably able to do so, assist users in escalating such matters to the appropriate bank, card issuer, or Payment Service Provider, but PRNV Services' role in such matters is limited to facilitation and does not extend to assuming the liability of the bank or Payment Service Provider.
16. Payment Disputes and Transaction Inquiries
Users who wish to raise a query, inquiry, or dispute in connection with a digital payment Transaction conducted through the Platform may do so by contacting PRNV Services through the channels specified in Section 27 of these Digital Payment Terms, providing all relevant Transaction details, including the Transaction reference number, date, amount, and nature of the concern.
Upon receipt of a payment-related dispute or inquiry, PRNV Services shall:
• Acknowledge receipt of the inquiry within a reasonable period;
• Undertake a reasonable, good-faith review of the available Transaction records and information;
• Where necessary, liaise with the relevant Payment Service Provider, bank, or card network to obtain further information regarding the status or processing of the Transaction; and
• Communicate the outcome of the review to the user within a reasonable period, subject to the response timelines of any third-party Payment Service Provider involved.
Where a dispute pertains to a chargeback, card-network dispute, or UPI-related dispute, such disputes shall additionally be subject to the dispute-resolution mechanisms, timelines, and rules prescribed by the relevant card network, bank, NPCI, or Payment Service Provider, which operate independently of, and in addition to, the procedures described in these Digital Payment Terms.
Disputes that remain unresolved following the above process may be escalated in accordance with the grievance redressal mechanism set out in PRNV Services' General Terms and Conditions, and thereafter, where applicable, through the dispute-resolution and arbitration framework referenced in Section 26 of these Digital Payment Terms.
17. Communication and Notification Practices
PRNV Services may send transaction-related communications to users through SMS, email, WhatsApp, push notifications, in-app messages, or other electronic means, including but not limited to:
• Transaction confirmations, receipts, and status updates;
• One-Time Passwords (OTPs) and authentication-related messages;
• Alerts regarding failed, delayed, or suspicious Transactions;
• Notices regarding changes to supported payment methods, security practices, or these Digital Payment Terms; and
• Responses to payment-related inquiries or disputes raised by the user.
By registering on or using the Platform, users expressly consent to receive such transaction-related and service-related communications by electronic means, including on registered mobile numbers that may be listed on the National Do Not Disturb (DND) registry, to the extent such communications constitute transactional or service communications under Applicable Law.
Users are responsible for ensuring that their registered contact details remain current, as failure to do so may result in non-receipt of important transaction alerts, OTPs, or security notifications.
Verifying Authenticity of Communications Users should verify the authenticity of any payment-related communication purportedly sent by PRNV Services. PRNV Services will never request OTPs, passwords, or full card details through any communication channel. Suspicious communications should be reported in accordance with Section 21. |
18. Information Security and Confidentiality Obligations
PRNV Services maintains reasonable security practices and procedures, consistent with the Information Technology Act, 2000 and the rules made thereunder, in respect of payment-related information that comes into its possession or control.
Confidentiality obligations under these Digital Payment Terms extend to:
• Information relating to a user's payment instruments, to the extent held by PRNV Services;
• Transaction history and records maintained on the Platform;
• Information shared by users in the course of reporting payment-related concerns or disputes; and
• Any other payment-related personal data processed by PRNV Services in connection with the Platform.
PRNV Services shall not disclose payment-related information to any third party except: (a) to authorised Payment Service Providers, banks, or card networks strictly to the extent necessary to process or investigate a Transaction; (b) to regulatory authorities, law-enforcement agencies, or courts pursuant to a lawful request or legal obligation; (c) to professional advisors under confidentiality obligations; or (d) with the express consent of the user, or as otherwise permitted under PRNV Services' Privacy Policy and Applicable Law.

19. Fraud Prevention and Risk Management Measures
PRNV Services maintains fraud-prevention and risk-management measures designed to protect the integrity of the Platform's digital payment ecosystem and the interests of its users. Such measures may include, without limitation:
• Automated and manual monitoring of transaction patterns to identify anomalies indicative of potential fraud, such as unusual transaction frequency, value, or velocity;
• Use of risk-scoring mechanisms provided by Payment Service Providers, where available;
• Verification checks on accounts exhibiting suspicious registration or usage patterns;
• Temporary suspension of payment functionality on accounts flagged for suspected fraudulent activity, pending investigation; and
• Cooperation with Payment Service Providers, banks, and regulatory or law-enforcement authorities in the investigation of suspected fraud, in accordance with Section 24.
PRNV Services reserves the right, at its discretion and acting reasonably, to decline, delay, hold, or reverse a Transaction where there are reasonable grounds to suspect that the Transaction is fraudulent, unauthorised, or in violation of Applicable Law or these Digital Payment Terms, and to take such further action as may be necessary to protect the Platform, its users, and its Payment Service Providers from financial crime.
Users are prohibited from using the Platform's payment functionality for any unlawful purpose, including money laundering, terrorist financing, fraud, or circumvention of Applicable Law. PRNV Services reserves the right to report suspected instances of such activity to the appropriate authorities, including the Financial Intelligence Unit-India, in accordance with Applicable Law.
20. Record Retention and Documentation
PRNV Services shall maintain records of digital payment Transactions conducted through the Platform, including Transaction references, timestamps, status updates, and related communications, for such period as may be required under Applicable Law, including the Information Technology Act, 2000, the Prevention of Money Laundering Act, 2002 (where applicable), and directions issued by the Reserve Bank of India, or for such longer period as may be reasonably necessary for legal, regulatory, audit, or dispute-resolution purposes.
Such records may be relied upon by PRNV Services as evidence of a Transaction and its terms in any dispute-resolution, regulatory, or legal proceeding, subject to Applicable Law regarding the admissibility of electronic records, including the Information Technology Act, 2000 and the Bharatiya Sakshya Adhiniyam, 2023.
Users are encouraged to retain their own copies of Transaction confirmations, receipts, and related correspondence for their personal records.
21. Reporting Concerns and Incident Management
Users who identify or suspect any of the following should report the matter promptly to PRNV Services using the contact details set out in Section 27:
• An Unauthorised Transaction or suspicious activity on their account;
• A failed, delayed, or incomplete Transaction where an amount has been debited without corresponding value being received;
• A suspected phishing attempt, fraudulent communication, or impersonation of PRNV Services;
• A suspected security vulnerability or breach affecting the Platform's payment functionality; or
• Any other concern relating to the security, accuracy, or integrity of a digital payment Transaction.
On receipt of such a report, PRNV Services shall undertake a reasonable, good-faith initial assessment of the concern, take such immediate protective measures as may be reasonably warranted (including, where appropriate, temporary restriction of the affected account), and proceed in accordance with the investigation and review procedures set out in Section 22.
Where the nature of the incident so requires, PRNV Services may notify the relevant Payment Service Provider, bank, the Indian Computer Emergency Response Team (CERT-In), the Data Protection Board of India, or other competent authority, in accordance with Applicable Law and within the timelines prescribed thereunder.
22. Investigation and Review Procedures
Where a payment-related concern, dispute, or report of suspected fraud is received, PRNV Services shall undertake a reasonable investigation, which may include:
10. Review of the relevant Transaction records, account activity logs, and supporting documentation available to PRNV Services;
11. Requesting additional information or documentation from the user, where reasonably necessary;
12. Liaising with the relevant Payment Service Provider, bank, or card network to obtain further information regarding the Transaction; and
13. Where warranted, escalating the matter for review by PRNV Services' internal compliance function.
PRNV Services shall endeavour to complete its review and communicate an outcome to the user within a reasonable period, having regard to the complexity of the matter and the response timelines of any third party involved. PRNV Services' determination following such review shall be communicated to the user in good faith, and shall be without prejudice to the user's rights to escalate the matter through the grievance redressal mechanism, regulatory channels, or applicable legal remedies.
PRNV Services reserves the right to take interim protective measures during the course of an investigation, including temporary suspension of payment functionality on the relevant account, where reasonably necessary to prevent further loss or harm.
23. Monitoring and Compliance Activities
PRNV Services undertakes reasonable monitoring of digital payment activity conducted through the Platform for the purposes of maintaining transaction integrity, detecting and preventing fraud, ensuring compliance with these Digital Payment Terms and Applicable Law, and supporting the investigation of reported concerns.
Such monitoring activities may include automated review of transaction data, periodic compliance audits, and review of accounts exhibiting patterns inconsistent with ordinary usage. Monitoring is conducted in a manner consistent with PRNV Services' Privacy Policy and Applicable Law governing data protection.
PRNV Services may, from time to time, engage independent auditors, compliance consultants, or technology-security professionals to review and enhance the Platform's payment-related compliance and security posture.
24. Cooperation with Regulatory Authorities and Law Enforcement
PRNV Services shall cooperate with regulatory authorities, including the Reserve Bank of India, the Financial Intelligence Unit-India, the Data Protection Board of India, and law-enforcement agencies, including cybercrime cells and police authorities, in connection with any lawful inquiry, investigation, or proceeding relating to digital payment activity conducted through the Platform.
Such cooperation may include the provision of Transaction records, account information, and other relevant data, where required under Applicable Law, pursuant to a valid legal process, or where PRNV Services reasonably determines that disclosure is necessary to prevent fraud, protect the rights of users, or comply with a legal obligation.
Users acknowledge and agree that PRNV Services may be legally required to disclose payment-related information to such authorities, and that such disclosure, where made in good-faith compliance with Applicable Law, shall not constitute a breach of these Digital Payment Terms or of PRNV Services' Privacy Policy.
25. Amendments and Updates
PRNV Services reserves the right to amend, modify, update, or revise these Digital Payment Terms at any time, in order to reflect changes in Applicable Law, regulatory requirements, Payment Service Provider arrangements, security practices, or the operational requirements of the Platform.
Material amendments to these Digital Payment Terms shall be notified to users through reasonable means, which may include publication of the updated Digital Payment Terms on the Platform, in-app notification, or email or SMS communication, together with an updated effective date.
Continued use of the Platform's digital payment functionality following the publication of amended Digital Payment Terms shall constitute the user's acceptance of such amendments. Users who do not agree to the amended Digital Payment Terms should discontinue use of the Platform's digital payment functionality.
Users are encouraged to periodically review these Digital Payment Terms to remain informed of any updates.
26. Governing Law and Jurisdiction
These Digital Payment Terms shall be governed by, and construed in accordance with, the laws of the Republic of India, including but not limited to the Information Technology Act, 2000; the Indian Contract Act, 1872; the Consumer Protection Act, 2019 and rules made thereunder; the Digital Personal Data Protection Act, 2023; the Payment and Settlement Systems Act, 2007; applicable directions and circulars issued by the Reserve Bank of India; the Prevention of Money Laundering Act, 2002, where applicable; and the Bharatiya Nyaya Sanhita, 2023 and Bharatiya Sakshya Adhiniyam, 2023.
Subject to the grievance redressal mechanism set out in PRNV Services' General Terms and Conditions, and subject to any mandatory dispute-resolution or arbitration framework referenced therein, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with these Digital Payment Terms, without prejudice to any statutory right of a consumer to approach a competent consumer forum or commission at a place permitted under the Consumer Protection Act, 2019.
Nothing in this Section shall be construed as excluding the jurisdiction of any regulatory authority, including the Reserve Bank of India or the Data Protection Board of India, to the extent such jurisdiction is mandatorily conferred under Applicable Law.
