1. Introduction

Welcome to PRNV Services, accessible at www.prnvservices.com, together with its associated mobile applications, customer portals, and digital interfaces (collectively, the “Platform”). This Customer Agreement (“Agreement”) is published by PRNV Services (“PRNV Services”, “the Platform”, “we”, “us”, or “our”) and governs the access to and use of the Platform by every customer, user, visitor, registered member, and individual who interacts with the Platform in any capacity.

PRNV Services has developed a technology-enabled environment that allows users to discover, search for, communicate with, and connect to independent service professionals across a range of service categories. This Agreement sets out the terms on which such access is granted and explains the respective roles, rights, and responsibilities of PRNV Services and its users.

Please read this Agreement carefully before accessing or using the Platform. By accessing, browsing, registering on, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement in its entirety. If you do not agree with any part of this Agreement, you must immediately discontinue use of the Platform.

2. Purpose of this Customer Agreement

The purpose of this Agreement is to establish a clear, transparent, and legally compliant framework that governs the relationship between PRNV Services and its users. This Agreement is intended to:

•         Define the nature and scope of the technology-enabled platform services made available through PRNV Services;

•         Set out the rights, obligations, and responsibilities of users while accessing or using the Platform;

•         Clarify the role of PRNV Services as a facilitator of discovery, communication, and coordination between users and independent service providers;

•         Establish acceptable usage standards, conduct expectations, and prohibited activities applicable to all users;

•         Provide a basis for addressing concerns, disputes, and policy violations in a fair and consistent manner; and

•         Promote a secure, trustworthy, and well-governed digital ecosystem for all stakeholders.

This Agreement should be read together with any other policies published on the Platform, including but not limited to the Privacy Policy, which are incorporated herein by reference.

3. Scope and Applicability

This Agreement applies to all customers, users, visitors, registered members, and individuals who access or use any service, feature, content, or functionality made available through PRNV Services, including without limitation the following:

•         The website located at www.prnvservices.com;

•         Mobile applications associated with PRNV Services, however accessed or downloaded;

•         Customer portals, dashboards, and account management interfaces;

•         User accounts and profiles created on the Platform;

•         Search and discovery features used to locate service categories and independent service providers;

•         Messaging, communication, and notification features available on the Platform;

•         Reviews, ratings, and feedback systems integrated into the Platform;

•         Any other online services, interactive features, information systems, or technology platforms operated under the PRNV Services brand.

This Agreement applies equally to registered users and to visitors who browse the Platform without creating an account, to the extent that such visitors interact with publicly accessible features. Continued access to or use of the Platform constitutes ongoing acceptance of this Agreement, including any amendments made in accordance with Section 26 (Amendments and Updates).

4. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set out below, unless the context requires otherwise:

“Agreement” means this Customer Agreement, including all sections, schedules, and any other policies incorporated by reference, as amended from time to time.

“Platform” means the website www.prnvservices.com, associated mobile applications, customer portals, user account systems, and all related digital interfaces, features, and functionalities operated by PRNV Services.

“PRNV Services”, “we”, “us”, or “our” means the entity operating the Platform under the brand name PRNV Services.

“User”, “Customer”, “you”, or “your” means any individual or entity who accesses, browses, registers on, or otherwise uses the Platform in any capacity, including visitors, registered members, and account holders.

“Independent Service Provider” or “Service Provider” means an independent professional, technician, business, or entity who is discoverable through the Platform and who offers services directly to users, and who is not an employee, agent, representative, partner, franchisee, or legal representative of PRNV Services.

“Platform Services” means the technology-enabled discovery, communication, coordination, and connection features made available by PRNV Services to facilitate interactions between users and independent service providers.

“Content” means any text, data, image, review, rating, message, profile information, or other material submitted to, displayed on, or transmitted through the Platform.

“Account” means a registered profile created by a user on the Platform for the purpose of accessing certain Platform Services.

“Applicable Law” means all statutes, regulations, rules, and judicial or governmental directions in force in the Republic of India that are applicable to the operation of the Platform and the conduct of users.

5. Nature of Platform Services

PRNV Services operates solely as a technology-enabled platform that facilitates discovery, communication, coordination, and connections between users and independent service providers. PRNV Services does not itself provide, perform, render, supervise, or guarantee any underlying professional, technical, repair, maintenance, healthcare, or other service offered by independent service providers.

Independent service providers who are discoverable through the Platform are separate and independent entities operating in their own personal or professional capacity. They are not employees, agents, representatives, partners, franchisees, or legal representatives of PRNV Services, and no employment, agency, partnership, franchise, or joint venture relationship is created or implied between PRNV Services and any independent service provider, or between PRNV Services and any user, by virtue of this Agreement or use of the Platform.

PRNV Services does not supervise, control, direct, guarantee, endorse, certify, or warrant the quality, legality, suitability, availability, timeliness, or outcome of any service performed by an independent service provider. Any engagement, communication, or arrangement between a user and an independent service provider occurs directly between those parties, at their sole discretion and responsibility.

Users are solely responsible for exercising independent judgment, discretion, and reasonable care when evaluating, communicating with, or otherwise interacting with independent service providers and when using any feature of the Platform. PRNV Services strongly encourages users to conduct their own due diligence before proceeding with any engagement facilitated through the Platform.

The Platform may include search, discovery, messaging, review, and informational features designed to assist users in locating and communicating with independent service providers. The provision of such features does not constitute, and shall not be construed as, an endorsement, recommendation, guarantee, or certification by PRNV Services of any particular independent service provider or the quality of any service offered.

6. Eligibility and Acceptance of Terms

By accessing or using the Platform, you represent and warrant that:

•         You possess the legal capacity and authority to enter into a binding agreement under Applicable Law;

•         You are of legal age to use the Platform in your jurisdiction, or you are accessing the Platform under the supervision of a parent or legal guardian who agrees to be bound by this Agreement on your behalf, where permitted by Applicable Law;

•         All information provided by you in connection with your access to or use of the Platform is true, accurate, current, and complete;

•         Your access to and use of the Platform will comply with this Agreement and all Applicable Law; and

•         You are not barred from using the Platform under any Applicable Law or any prior action taken by PRNV Services.

Acceptance of this Agreement occurs at the earlier of: (a) your registration of an Account; (b) your express acknowledgment of this Agreement through any in-app or on-screen mechanism; or (c) your continued access to or use of the Platform. PRNV Services reserves the right to refuse, restrict, or condition access to the Platform for any individual who does not meet the eligibility requirements set out in this Agreement.

7. User Registration and Account Requirements

Certain features of the Platform may require the creation of a registered Account. When registering an Account, you agree to:

•         Provide accurate, current, and complete information as prompted by the registration process;

•         Select and maintain a secure password or authentication credential and keep such credential strictly confidential;

•         Promptly notify PRNV Services of any unauthorized use of your Account or any other breach of security;

•         Accept sole responsibility for all activities that occur under your Account, except to the extent such activities result from a security failure attributable to PRNV Services;

•         Maintain only one active Account, unless otherwise expressly permitted by PRNV Services.

PRNV Services reserves the right to verify the information provided during registration, to decline registration, or to suspend or terminate an Account in accordance with Section 20 (Suspension, Restriction, and Termination of Access) of this Agreement.

8. Information Accuracy and Update Obligations

Users are responsible for ensuring that all information submitted to the Platform, including registration details, profile information, contact details, and any other Content, is accurate, complete, and kept up to date at all times.

Where any information previously submitted becomes inaccurate, incomplete, or outdated, the user shall promptly update such information through the relevant Account settings or by notifying PRNV Services through the contact details provided in Section 31 (Contact Information).

PRNV Services relies on the accuracy of information submitted by users to operate the Platform effectively. Users acknowledge that the submission of false, misleading, or outdated information may affect their ability to use certain Platform Services and may result in restriction or suspension of access in accordance with Section 20.

9. User Responsibilities and Obligations

Every user of the Platform agrees to the following responsibilities and obligations as a condition of continued access to and use of the Platform:

•         To provide accurate and updated information at all times, as further described in Section 8;

•         To maintain the confidentiality of Account credentials and to take reasonable steps to prevent unauthorized access to their Account;

•         To use the Platform Services lawfully, responsibly, and in a manner consistent with this Agreement and Applicable Law;

•         To treat other users, independent service providers, and PRNV Services personnel with respect and courtesy, and to comply with all applicable platform policies;

•         To refrain from engaging in fraudulent, deceptive, abusive, or otherwise prohibited activities, as further described in Section 15;

•         To promptly report suspicious activity, suspected security incidents, or suspected violations of this Agreement to PRNV Services through the channels described in Section 18.

Users further acknowledge that any interaction with an independent service provider, including any communication, scheduling, or engagement, is undertaken at the user's own discretion and that PRNV Services bears no responsibility for the conduct, performance, or outcome of such interactions, as further described in Section 22 (Disclaimers and No Warranties).

10. Acceptable Platform Usage Requirements

Users shall access and use the Platform only for its intended purpose of discovering, communicating with, and coordinating with independent service providers. In using the Platform, users agree to:

•         Use the Platform in a manner consistent with all applicable on-screen instructions, guidelines, and published policies;

•         Access the Platform only through legitimate means, such as the official website and authorised mobile applications;

•         Refrain from interfering with, disrupting, or attempting to circumvent any security, access control, or technical feature of the Platform;

•         Refrain from using any automated means, including bots, scrapers, or crawlers, to access or extract data from the Platform without prior written authorisation;

•         Use Platform features, including search, messaging, and review functionality, only for their intended legitimate purpose.

PRNV Services reserves the right to introduce, modify, or discontinue specific features of the Platform from time to time, in accordance with Section 26 (Amendments and Updates) and Section 37 of PRNV Services' broader operational policies, in order to maintain the security, integrity, and usability of the Platform.

11. Communication and Conduct Standards

Where the Platform provides messaging, communication, or similar interactive features, users agree to communicate in a respectful, lawful, and professional manner with other users, independent service providers, and PRNV Services personnel.

Users shall not use any communication feature of the Platform to transmit content that is unlawful, defamatory, threatening, abusive, harassing, obscene, fraudulent, or otherwise objectionable. PRNV Services reserves the right to monitor communications conducted through the Platform to the extent permitted by Applicable Law and as described in Section 19 (Monitoring and Compliance Reviews), for the purpose of maintaining platform integrity and addressing reported concerns.

Users are encouraged to maintain a professional and courteous tone in all communications and to report any instance of inappropriate conduct encountered through the Platform in accordance with Section 18 (Reporting Concerns and Incident Management).

12. Privacy, Confidentiality, and Information Security

PRNV Services is committed to protecting the privacy and confidentiality of information submitted by users through the Platform. The collection, use, storage, and disclosure of personal information is governed by the Privacy Policy published on the Platform, which is incorporated into this Agreement by reference.

Users agree not to disclose, share, or misuse any confidential information obtained through the Platform, including information relating to other users or independent service providers, except as necessary for the legitimate purpose of using the Platform Services.

PRNV Services implements reasonable technical and organisational security measures designed to protect information processed through the Platform. However, no method of electronic transmission or storage is completely secure, and PRNV Services cannot guarantee absolute security of any information transmitted through the Platform. Users are encouraged to take appropriate precautions when sharing personal information through any digital platform.

13. Reviews, Ratings, and Feedback

The Platform may allow users to submit reviews, ratings, and other feedback regarding their experience with independent service providers or with the Platform itself. Users agree that any such review, rating, or feedback shall be:

•         Honest, accurate, and based on genuine personal experience;

•         Free from defamatory, abusive, discriminatory, or unlawful content;

•         Submitted without any inducement, coercion, or manipulation; and

•         Compliant with this Agreement and any applicable content guidelines published on the Platform.

PRNV Services reserves the right, but is not obligated, to review, moderate, edit, or remove any review, rating, or feedback that violates this Agreement or applicable content guidelines. PRNV Services does not independently verify the accuracy of user-submitted reviews and ratings and disclaims responsibility for the same, except to the extent required by Applicable Law.

By submitting a review, rating, or feedback, users grant PRNV Services a non-exclusive, royalty-free, worldwide licence to display, reproduce, and use such content for the purpose of operating and promoting the Platform, subject to the Privacy Policy.

14. Intellectual Property Rights

All intellectual property rights in and to the Platform, including its design, layout, software, source code, graphics, logos, trademarks, trade names, text, and other proprietary content (excluding user-submitted Content), are owned by or licensed to PRNV Services and are protected under applicable intellectual property laws.

Users are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform strictly for its intended personal, non-commercial purpose, subject to compliance with this Agreement. No right, title, or interest in the Platform or its underlying intellectual property is transferred to any user.

Users shall not copy, reproduce, modify, distribute, publicly display, create derivative works from, reverse engineer, or otherwise exploit any part of the Platform without the prior written consent of PRNV Services, except to the extent expressly permitted by Applicable Law.

Any Content submitted by a user to the Platform remains subject to the rights of the originating user, save that the user grants PRNV Services the licence described in Section 13 to the extent necessary to operate the Platform.

15. Prohibited Activities and Restrictions

Without limiting any other provision of this Agreement, users shall not engage in any of the following prohibited activities while accessing or using the Platform:

•         Misrepresenting or impersonating their identity, or the identity of any other person or entity;

•         Submitting false, misleading, or fraudulent information of any kind in connection with the Platform;

•         Attempting unauthorized access to any Account, system, or feature of the Platform, or attempting to circumvent any security measure;

•         Engaging in harassment, abuse, threats, or any conduct intended to intimidate other users, independent service providers, or PRNV Services personnel;

•         Sending spam, unsolicited communications, or engaging in unauthorized marketing through any communication feature of the Platform;

•         Uploading, transmitting, or distributing malicious software, viruses, or other harmful code or content;

•         Collecting, harvesting, or disclosing personal information of other users or independent service providers without authorisation;

•         Infringing upon the intellectual property rights of PRNV Services or any third party;

•         Engaging in any activity that violates Applicable Law or any policy published by PRNV Services.

Engagement in any prohibited activity may result in restriction, suspension, or termination of access to the Platform in accordance with Section 20, and may be reported to the appropriate authorities where required by Applicable Law.

16. Third-Party Services and Interactions

The Platform may contain links to, or integrations with, third-party websites, applications, or services, including those operated by independent service providers. PRNV Services does not control and is not responsible for the content, policies, or practices of any third-party website, application, or service.

Any interaction, communication, or engagement between a user and an independent service provider, or between a user and any other third party encountered through the Platform, occurs directly between those parties and is subject to such terms as the parties may separately agree. PRNV Services is not a party to, and assumes no responsibility or liability for, any such interaction.

Users are encouraged to review the terms, policies, and practices of any third party before engaging with them, whether such engagement occurs through or in connection with the Platform.

17. Verification and Platform Integrity Measures

PRNV Services may, at its discretion, implement verification measures intended to support platform integrity, such as confirming certain registration details or monitoring patterns of platform usage. Such measures are implemented on a best-efforts basis and do not constitute a guarantee, certification, or warranty regarding the identity, credentials, qualifications, or conduct of any user or independent service provider.

Users acknowledge that the existence of any verification indicator, badge, or similar feature on the Platform does not eliminate the need for independent judgment and due diligence when interacting with other users or independent service providers.

PRNV Services reserves the right to introduce, modify, or remove verification and platform integrity measures from time to time, in order to enhance the trustworthiness and security of the Platform.

18. Reporting Concerns and Incident Management

Users who become aware of suspicious activity, suspected fraud, security incidents, policy violations, or other concerns relating to the Platform are encouraged to promptly report such concerns to PRNV Services using the contact details provided in Section 31 (Contact Information).

Upon receiving a report, PRNV Services will undertake a reasonable review of the matter and may take such steps as it considers appropriate in the circumstances, including investigation, escalation, restriction of access, or referral to appropriate authorities, in accordance with this Agreement and Applicable Law.

PRNV Services will use reasonable efforts to acknowledge reports submitted in good faith and to keep the reporting user informed of the general status of the matter, subject to confidentiality and legal considerations.

19. Monitoring and Compliance Reviews

PRNV Services reserves the right, but is not obligated, to monitor activity on the Platform, including Account activity, communications conducted through Platform features, and submitted Content, for the purpose of ensuring compliance with this Agreement, maintaining platform security, and addressing reported concerns.

Any monitoring conducted by PRNV Services will be carried out in a manner consistent with the Privacy Policy and Applicable Law. PRNV Services may conduct periodic compliance reviews of Accounts and Platform usage to detect and address potential violations of this Agreement.

Where a compliance review identifies a suspected violation, PRNV Services may take such action as it considers appropriate, including those described in Section 20 (Suspension, Restriction, and Termination of Access).

20. Suspension, Restriction, and Termination of Access

PRNV Services reserves the right, at its sole discretion, to suspend, restrict, or terminate a user's access to the Platform, in whole or in part, with or without prior notice, where PRNV Services reasonably believes that:

•         The user has violated any provision of this Agreement or any other applicable platform policy;

•         The user has engaged in any prohibited activity described in Section 15;

•         Continued access poses a risk to the security, integrity, or proper functioning of the Platform, or to other users or independent service providers;

•         Such action is necessary to comply with Applicable Law or a directive from a competent authority.

Where practicable, PRNV Services will provide notice of the reason for suspension, restriction, or termination and an opportunity for the affected user to respond, except where doing so would compromise platform security, ongoing investigations, or compliance with Applicable Law.

Users may also discontinue their use of the Platform and close their Account at any time by following the applicable process made available on the Platform or by contacting PRNV Services using the details in Section 31. Termination of access does not affect any rights or obligations that have accrued prior to such termination, including those relating to confidentiality, intellectual property, indemnification, and limitation of liability.

21. Record Retention and Documentation

PRNV Services may retain records of Account information, Platform usage, communications conducted through the Platform, and reports submitted under Section 18, for such periods as are necessary to comply with Applicable Law, resolve disputes, enforce this Agreement, and maintain the integrity and security of the Platform.

Retained records may be used by PRNV Services for internal compliance review, investigation of reported concerns, and, where required, disclosure to competent authorities in accordance with Applicable Law and the Privacy Policy.

Users may request access to certain records relating to their own Account, subject to verification of identity and any applicable restrictions under Applicable Law, by contacting PRNV Services through the details set out in Section 31.

22. Disclaimers and No Warranties

THE PLATFORM AND ALL PLATFORM SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

PRNV Services provides technology-enabled platform services that facilitate discovery, communication, coordination, and connections between users and independent service providers. PRNV Services does not provide, supervise, control, or guarantee the underlying services offered by independent service providers, and makes no representation or warranty regarding the quality, legality, suitability, timeliness, safety, or outcome of any such service.

PRNV Services does not guarantee uninterrupted, error-free, secure, or continuously available operation of the Platform or any of its features. The Platform may be subject to interruptions, delays, technical errors, or limitations arising from maintenance, technical failure, third-party service disruptions, or factors beyond the reasonable control of PRNV Services.

PRNV Services does not guarantee the accuracy, completeness, reliability, or currency of any information, Content, listing, review, or rating displayed on the Platform, whether submitted by users, independent service providers, or generated by the Platform itself.

Any interaction, engagement, communication, or transaction between a user and an independent service provider, or between a user and any other third party, occurs at the discretion and sole responsibility of the respective parties. PRNV Services is not a party to, and disclaims all responsibility and liability arising from, any such interaction.

To the maximum extent permitted by Applicable Law, PRNV Services disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement.

23. Limitation of Liability

To the maximum extent permitted by Applicable Law, PRNV Services, its officers, employees, and authorised representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with a user's access to or use of, or inability to access or use, the Platform or any Platform Services.

PRNV Services shall not be liable for any loss, damage, injury, or harm arising from or in connection with the acts, omissions, conduct, or performance of any independent service provider, or any other user or third party encountered through the Platform, as such parties operate independently of PRNV Services and outside its supervision and control.

Nothing in this Agreement shall operate to exclude or limit any liability that cannot be excluded or limited under Applicable Law, including liability for fraud or for matters which, as a matter of Applicable Law, may not be limited or excluded.

Where, notwithstanding the foregoing, PRNV Services is found liable for any claim arising out of or in connection with this Agreement, such liability shall, to the extent permitted by Applicable Law, be limited to the minimum extent necessary to give effect to the intent of this Section.

24. Indemnification

Users agree to indemnify, defend, and hold harmless PRNV Services, its officers, employees, and authorised representatives from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with:

•         The user's breach of this Agreement or any applicable platform policy;

•         The user's violation of Applicable Law;

•         The user's interaction or engagement with any independent service provider or other third party through the Platform;

•         Any Content submitted by the user to the Platform, including reviews, ratings, and feedback;

•         The user's misuse of the Platform or any Platform Services.

PRNV Services reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by the user, in which event the user agrees to cooperate with PRNV Services in asserting any available defences.

25. Force Majeure

PRNV Services shall not be liable for any failure or delay in the performance of its obligations under this Agreement where such failure or delay arises from circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, epidemics, war, civil unrest, governmental action, regulatory changes, labour disputes, internet or telecommunications failures, cyber-attacks, power outages, or failures of third-party service providers.

During the continuance of any such event, the affected obligations of PRNV Services shall be suspended, and PRNV Services shall use reasonable efforts to resume performance as soon as practicable once the event has ceased.

26. Amendments and Updates

PRNV Services reserves the right to amend, modify, update, or revise this Agreement at any time, in its sole discretion, to reflect changes in Platform Services, legal or regulatory requirements, or operational needs.

Any amendment to this Agreement will be effective upon publication of the revised Agreement on the Platform, unless otherwise specified. PRNV Services will use reasonable efforts to notify users of material changes through appropriate means, such as a notice on the Platform or communication through registered contact details.

Continued access to or use of the Platform following the publication of any amendment constitutes acceptance of the amended Agreement. Users who do not agree to an amended Agreement should discontinue use of the Platform.

27. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Subject to Section 28 (Dispute Resolution), the courts located at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute, claim, or matter arising out of or in connection with this Agreement or the use of the Platform.

28. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or in connection with this Agreement or the use of the Platform, the parties shall first attempt to resolve the matter amicably through good-faith negotiation, by raising the concern with PRNV Services using the contact details set out in Section 31 (Contact Information).

If a dispute is not resolved through good-faith negotiation within a reasonable period, either party may pursue resolution through the appropriate legal forum in accordance with Section 27 (Governing Law and Jurisdiction), or through such alternative dispute resolution mechanism as may be mutually agreed by the parties or otherwise made available under Applicable Law.

Nothing in this Section shall be construed to prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights.

29. Severability

If any provision of this Agreement is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, while preserving its intent to the greatest extent possible. The remaining provisions of this Agreement shall continue in full force and effect.

30. Entire Agreement

This Agreement, together with any other policies expressly incorporated by reference, including the Privacy Policy, constitutes the entire agreement between the user and PRNV Services with respect to the subject matter herein, and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral, relating to such subject matter.

No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such provision or any other provision, and any failure by PRNV Services to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
